Job Description:Position Title: Corporate Counsel
Position Purpose:
Guess is seeking a business-minded Corporate Counsel to join our legal team. The role focuses on licensing, sophisticated commercial contracting, technology, and AI/emerging technologies. The corporate counsel will also play a key role in implementing the Company's new Contract Lifecycle Management (CLM) platform. This is a full-time, on-site position based in Los Angeles and reports to the General Counsel.
Essential Functions:
- Draft, review, negotiate, and manage the full lifecycle of a wide variety of domestic and international commercial agreements, including technology, software, SaaS, AI and data-related agreements, e-commerce and digital platform agreements, and confidentiality agreements.
- Draft domestic and international retail store licensing and distribution agreements and third-party IP collaboration agreements.
- Advise on and support strategic technology partnerships and technology-enabled tools.
- Work with our Global Privacy and Technology Legal Manager to advise on technology governance, including responsible use, risk assessments, and related policies and training.
- Lead global CLM implementation and develop contract templates, playbooks, clause libraries, and approval workflows.
Years of Experience: 7-9 Years
Qualifications:
- J.D. and active California Bar membership.
- 7–9 years of relevant experience in a major law firm and/or in-house legal department.
- Excellent drafting, negotiation, and communication skills and sound business judgment, with comfort negotiating directly with stakeholders and working independently in a fast-paced environment.
- Significant experience with consumer products licensing and sophisticated commercial contracting.
- Substantive experience structuring and negotiating complex technology, SaaS, software, cloud, and AI agreements.
- Experience implementing or administering a CLM platform.
- Proven practical problem-solver and consensus-builder who takes ownership, exercises sound judgment in ambiguous situations, and is comfortable wearing multiple hats.
- Familiarity with consumer products, retail, fashion or e-commerce a plus.
