What You'll Do:
As Corporate Counsel, you will play a vital role in ensuring legal compliance and providing strategic legal guidance across various corporate and commercial matters. This is a mid-level legal position that is perfect for a highly qualified lawyer looking for an opportunity in a dynamic, growing company and who is open to growth. Reporting to the General Counsel, the Counsel's primary function will be to take direction and assist the General Counsel. This position will also collaborate closely with internal stakeholders, executives, and other legal professionals to navigate complex legal issues and drive business objectives forward.

Key Responsibilities:
  • Provide practical and actionable legal advice to support various departments within the organization on a wide range of legal matters, including commercial and sales contracts, corporate governance, intellectual property, employment law, and litigation
  • Draft, review, negotiate and advise on a broad range of complex business and commercial contracts such as partnership agreements, outsourcing agreements, and customer and vendor agreements, among others
  • Provide legal guidance to product teams on products, features, and initiatives
  • Assist with management of organization's trademark portfolio
  • Assist in mergers, acquisitions, and strategic partnerships by conducting due diligence and providing legal support throughout the deal process
  • Coordinate with outside counsel on litigation and specialized issues as required
  • Stay informed about changes in laws, regulations, and industry trends that may impact the company and provide proactive advice and recommendations to mitigate legal risks and ensure compliance
  • Collaborating with legal team members to improve processes and ensure satisfaction of business demands
  • Develop and maintain relationships and collaborative partnerships within the legal team as well as with senior leadership and business partners throughout the organization
  • Anything else that gets thrown your way to support a dynamic, high-growth environment

Who You Are:
  • 3-5 years' experience within a technology/software company working on a broad range of legal matters. Prior in-house experience required
  • Experience in both commercial agreements and product counseling, preferably covering some of the following topics: intellectual property, privacy, consumer protection, payments, and marketing
  • Experience structuring, drafting, and negotiating complex commercial and corporate transactions
  • JD from an accredited law school and licensed to practice in at least one state
  • Good strategic, business sense, and demonstrated contract drafting and negotiation skills
  • Familiarity with Ironclad is a plus
  • Strong work ethic and ability to adapt to rapidly changing environments
  • Ability to quickly assess business challenges and make timely, pragmatic recommendations under pressure
  • Ability to identify, prioritize and resolve issues quickly and independently
  • Strong analytic abilities and clear and concise written and oral communication skills. Attention to detail is a must
  • Proficient with Microsoft Office Suite applications including Word, Excel, PowerPoint, and Outlook

Travel Considerations:
Domestic and/or international travel required, estimated up to 5%
