Job Description:
Your Team:
The Corporate Legal team provides practical, business-oriented legal support across Invesco. The team partners with colleagues in Legal, Procurement, Corporate Properties, Technology, Security, Privacy, Risk, Compliance, and the business. We work collaboratively across regions and with outside counsel where specialist or local-law advice is needed. Our focus is on delivering clear, commercially focused, responsive, and efficient legal support.
Your Role:
As Corporate Counsel, you will support a broad range of general corporate legal matters, including intellectual property, corporate real estate, procurement and commercial contracts, litigation and dispute management, and selected privacy and data matters. You will work closely with the Assistant General Counsel and internal stakeholders, moving among different subject areas and taking increasing ownership of matters over time. You will provide clear, practical advice, coordinate with specialist counsel and business partners, and help develop processes that improve consistency and efficiency. This role is well suited for an attorney who is adaptable, exercises sound judgment, and can manage competing priorities in a global, matrixed organization.
You will be responsible for:
- Providing legal research, analysis, drafting, and practical advice on corporate matters and strategic projects assigned by the Assistant General Counsel, while managing priorities, communicating status and risk, and escalating when appropriate.
- Supporting Invesco's intellectual property matters, including trademarks, copyright, brand protection, software and content licensing, confidentiality, and intellectual property provisions in commercial agreements.
- Providing legal support for corporate office leases, amendments, renewals, construction and facilities agreements, related transactions, and property disputes.
- Drafting, reviewing, negotiating, and advising on procurement and commercial agreements, including professional services, vendor, marketing, licensing, confidentiality, technology, software, and SaaS agreements.
- Reviewing agreements involving AI-enabled products or services, applying approved contracting positions, and identifying and escalating material issues involving data use, model training, confidentiality, intellectual property, output rights, human oversight, indemnities, and risk allocation.
- Assisting with non-fund litigation, commercial disputes, subpoenas, demand letters, investigations, discovery, mediation, settlement, reporting, information preservation, and coordination with internal stakeholders and outside counsel.
- Providing first-line support on routine privacy and data protection issues in contracts and corporate matters, including data-use, security, confidentiality, and cross-border transfer provisions, with appropriate escalation to specialist teams.
- Developing and maintaining templates, playbooks, training materials, guidance, and matter-management processes, and building effective relationships across functions, regions, and external advisers.
The experience you bring:
- A Juris Doctor (J.D.) degree from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction.
- Approximately 5-8 years of relevant legal experience in a law firm, in-house legal department, or a combination of both.
- Experience drafting, reviewing, and negotiating commercial agreements.
- Demonstrated ability to analyze legal issues, exercise sound judgment, and provide clear, practical, business-oriented advice.
- Strong written, verbal, organizational, and interpersonal skills, with careful attention to detail.
- Ability to learn new subject areas, manage competing priorities, work independently within appropriate boundaries, and collaborate in a global, matrixed organization.
- Experience in one or more of the following areas is preferred: intellectual property, corporate real estate, procurement or technology contracts, litigation management, privacy, or data protection.
- Familiarity with AI-related legal and contracting issues, in-house or regulated-industry experience, and experience coordinating cross-disciplinary or cross-border matters are preferred.
