Job Description/Responsibilities:
  • General Corporate: Entity formation; drafting board and stockholder consents, and meeting minutes; drafting documents for amendments, withdrawals, mergers and dissolutions of corporations and LLCs; drafting documents for officer and director changes; drafting proxies and power of attorney documents.
  • Global Entity Management: Manage the administration of Cloud's international corporate structure, including all of its global corporate subsidiaries; responsible for working with internal stakeholders to prepare and file required regulatory filings and build out processes for such filings; review subsidiary annual financial statements and prepare ancillary documents related thereto; work competently and cost-effectively with outside counsel on a global basis; assist with integration related matters.
  • Administrative: Interact with a diverse group of colleagues worldwide at all levels of the company; manage and drive issues and projects cross-functionally across departments; implementation of new legal processes, policies, procedures, and technology; engage and manage the activity of outside counsel, with the goal of minimizing the organization's legal costs and obtaining highest quality services; implement and maintain a document management system and document retention processes and procedures.
  • M&A and Finance: Assist as needed with M&A, finance, and other strategic transactions, including organizing due diligence materials, managing checklists, assisting with closing mechanics, and post-closing integration processes.

Recommended Experience
  • Juris Doctorate from an accredited law school
  • Licensed Attorney in a minimum of one jurisdiction in the United States.
  • 3+ years of experience as an attorney, with a combination of law firm and in-house experience.
  • Ability to make sound decisions and find practical, cost-effective solutions.
  • High degree of professionalism with demonstrated ability to follow through on commitments while handling multiple priorities and deadlines.
  • Initiative and ability to be proactive and use mature judgment to take calculated risks within defined boundaries.
  • Detail oriented with excellent grammar, spelling, proofreading, oral, and interpersonal skills.
  • Excellent interpersonal and communication skills.
