Join our legal team as Corporate Counsel supporting a dynamic, privately held enterprise with multiple U.S. locations. In this role, you'll serve as a trusted advisor to the business, providing counsel on commercial contracting, risk mitigation and procurement across the organization. This position offers the opportunity to work in a collaborative environment with exposure to diverse legal and operational issues. The position reports to the General Counsel.
This role may be performed on a hybrid schedule working from our Fenton, Missouri office three days per week, or fully remote from any location in the continental U.S. The position requires quarterly travel for team collaboration at Maritz Headquarters in Fenton, Missouri or participation in key company events.
What You'll Be Doing:
Commercial Contracting – 70%
- Draft, review, and negotiate a broad range of commercial agreements including service agreements, statements of work, amendments, NDAs, licensing, technology, and vendor contracts to support business operations and strategic initiatives.
- Ensure contractual terms comply with legal requirements, internal policies, and risk‑management standards while balancing business objectives.
- Identify legal and commercial risks, propose alternatives, and escalate significant issues to the General Counsel as appropriate.
- Contribute to development, refinement, and maintenance of contract templates, playbooks, and contract lifecycle processes.
- Provide practical, business‑focused guidance to internal partners on contract terms, risk mitigation, compliance considerations, and general legal questions.
- Participate in cross‑functional meetings to understand business priorities and deliver sound legal recommendations aligned with organizational goals.
- Build strong relationships across the enterprise to support efficient, legally compliant decision‑making.
Legal Department Support – 10%
- Assist with document management, contract workflows, records management, compliance initiatives, and process‑improvement efforts.
- Support development and delivery of compliance training, legal resources, and departmental communication materials.
- Contribute to enterprise initiatives and special projects assigned by the General Counsel, including legal operations, policy modernization, and adoption of legal‑technology tools.
Legal Research and Issue Support – 10%
- Conduct legal research and monitor regulatory developments related to commercial contracting, privacy, procurement, technology, and industry trends.
- Distill complex legal information into clear, actionable recommendations for legal and business leadership.
- Support updates to internal policies, guidance documents, and departmental procedures in response to evolving laws, regulations, and best practices.
What You'll Bring
- Juris Doctorate (JD) from an accredited law school required.
- Admission in good standing to the Missouri Bar or ability to obtain Missouri bar membership within a reasonable timeframe.
- At least 1–3 years of legal experience in a corporate in‑house environment or law firm.
- Strong contract drafting, negotiation, and analytical skills.
- Ability to translate complex legal concepts into practical guidance for business partners.
- Excellent verbal and written communication skills.
- Strong organizational skills with the ability to manage multiple priorities in a fast‑paced environment.
- Sound judgment and willingness to escalate issues appropriately.
- Demonstrated ability to build effective, collaborative working relationships.
- Proficiency with AI‑enabled contract tools, Microsoft Office, and document‑management systems.
- Ability to work both independently and as part of a team.
