Job Description:
The Corporate Counsel will primarily support HITT's operations in the central United States and will be based out of HITT's Dallas office. The Corporate Counsel will have a strong background in the Architectural, Engineering, and Construction (AEC) industry and/or in the energy sector, including contract drafting and negotiations, claim advice, strategies for contract administration and dispute resolution, union agreements, plus have strong communication skills and work ethic; be willing to grow and be challenged; work ethically, professionally and with integrity; be passionate about the core business of construction; and be willing to build strong relationships with internal and external stakeholders. The Corporate Counsel will be an integral part of HITT's Legal and Compliance Department. This position may be eligible for a hybrid work schedule with up to one day a week of remote work after successful completion of an initial onboarding period.
Responsibilites:
- Assist in the development, implementation, and maintenance of internal compliance programs, policies, and procedures.
- Further develop and implement strategic programming to support compliance with complex regulatory requirements, including but not limited to: state and federal energy and environmental regulations, and applicable state public contract codes
- Draft, structure, negotiate, review, and advise on commercial construction contracts & subcontracts, and union agreements
- Work with the department leaders to provide corporate leadership with legal guidance on a wide variety of matters related to the AEC industry, including without limitation: contract interpretation, design-build, contract disputes, subcontractor and supplier issues, government contracts & compliance, litigation, bankruptcy, insurance coverage and claims, bond claims, liens, and employment.
- Retain and manage outside legal counsel, and provide litigation support
- Respond to subpoenas
- Assist with and/or lead the tracking and reporting of departmental activities and key performance indicators
- Draft corporate policies, procedures, and other resources
- Assist with legal research and analysis related to new markets, products, or services
- Assist with and/or lead departmental or companywide initiatives and process improvements
- Provide training to the company and/or assigned business units on a variety of legal topics
- Other duties as assigned
Qualifications:
- Hands-on, highly organized, and resourceful attorney, with a willingness to own tasks.
- Collaborative professional with strong project management skills and the ability to understand how cross-functional pieces fit together to support the broader business.
- Excellent ability to grasp legal and business issues quickly, to balance a high heavy load, to exercise sound judgment and to provide practical and constructive legal advice to non-lawyers in a time-sensitive, dynamic, and fast paced business environment.
- Admitted to practice law in the jurisdiction where the candidate is located.
- Approximately 5-8 years of legal experience with a focus on construction law, with 2-3 years of in-house construction experience preferred.
- Excellent ability to grasp legal and business issues quickly, to balance a high heavy load, to exercise sound judgment and to provide practical and constructive legal advice in a time-sensitive, dynamic, and fast paced business environment.
- Ability to lead discussions with clients, attorneys, leadership, employees, and other stakeholders about a wide variety of legal issues.
- Excellent verbal and written communication skills including strong interpersonal and negotiating skills.
- Juris Doctorate degree from a top accredited law school.
