About the role:G2's Corporate Counsel is a key member of the Legal team and a trusted advisor to stakeholders across the company, partnering closely with Product, Engineering, Revenue, Information Security, Marketing, and Leadership to enable growth while effectively managing legal risk. The role reports to the General Counsel and requires exceptional judgment, adaptability, and collaboration to deliver clear, business-oriented guidance under tight timelines and shifting priorities. The successful candidate is an agile generalist who can quickly assess issues, translate legal requirements into practical advice, and drive efficient outcomes that align with G2's objectives and standards.
In this role, you will:
- Provide practical legal guidance to business partners on operational and strategic matters involving commercial agreements, product initiatives, intellectual property, software licensing, data licensing, and regulatory obligations applicable to SaaS platforms and online marketplaces.
- Draft, revise, review, and negotiate a broad range of commercial agreements, including SaaS agreements, licensing agreements, master service agreements, DPAs, AI Terms, NDAs, vendor agreements, data agreements, and strategic partnership contracts.
- Advise Product and Engineering teams on new and existing features, data usage, integrations, and platform functionality with attention to intellectual property, licensing, and regulatory risk.
- Counsel the business on regulatory frameworks impacting software platforms, data practices, privacy, advertising, and consumer protection.
- Partner closely with Revenue, Information Security, Product, Engineering, Marketing, and other teams to structure transactions and product initiatives in a manner consistent with G2's legal standards and business objectives.
- Educate stakeholders on legal matters, policies, and changes in relevant laws and regulations that impact the business.
- Translate legal requirements and risk considerations into clear, actionable guidance for cross-functional stakeholders.
- Improve and scale contracting playbooks, templates, and internal processes to increase efficiency while protecting G2's intellectual property and data assets.
- Respond quickly to complex legal requests and emerging risks, coordinating with Legal team members to deliver timely and business-oriented advice.
- Recognize issues outside personal expertise and collaborate with Legal colleagues and outside counsel to drive resolution.
- Develop and deliver training for business teams on intellectual property, software licensing, data practices, contracting standards, and regulatory considerations.
- Draft and maintain policies, guidance documents, and standard operating procedures related to product, IP, licensing, and contracting risk.

Minimum Qualifications:

- J.D. from an accredited and nationally recognized law school.
- Active and in good standing in one State Bar in the United States.
- 3-6 years as a practicing attorney with private practice, in-house, or judicial clerkship experience.
