Note: This position requires presence in our San Francisco office location 4 days per week; Lambda's designated work from home day is currently Tuesday.
What You'll Do:
As Corporate Counsel at Lambda, you will perform a broad range of legal work with a primary focus on supporting and overseeing a variety of corporate governance, equity administration, securities and transactional matters, with a potential focus on preparing for and executing a public offering. You will report to Lambda's Associate General Counsel, Corporate.
- Corporate Transactions: Provide counseling, support, and organization to enable key business initiatives like equity fundraising rounds, debt financings, M&A and strategic investments.
- Equity Management:
- Maintain and update the cap table in Carta, draft equity grant approvals, field employee equity questions, update equity grant documentation, coordinate quarterly 409A valuations.
- Manage an active secondary sale market from receipt of a transfer proposal through coordinating closing logistics and updating the cap table.
- Corporate Governance: Prepare board and committee materials (resolutions, minutes, written consents) and manage entity maintenance tasks, including registrations and filings.
- Subsidiaries: Assist in the formation and dissolution of entities to support Lambda's ever growing financing and development structures, including international entities, and support changes in entity structure.
- People & Culture: Partner with the People teams to support various initiatives to support Lambda's culture. Projects may include advising on employee and management handbooks and developing and delivering training for employees on various legal adjacent topics (e.g. equity compensation).
- Research and Process Improvement: Monitor evolving industry regulations and leverage legal-tech solutions to automate workflows, streamline contract review, and drive continuous process enhancements.
- As-Needed Legal Support: Collaborate on employment, IP,debt financings,, equity administration support, and ad hoc projects as priorities shift.
You:
- JD from an accredited law school and admission to practice in at least one U.S. jurisdiction (California bar preferred or in-house registration).
- 3+ years of combined law firm and/or in-house experience, with demonstrated strength supporting corporate transactions, governance and equity administration.
- Solid corporate background covering governance, financings, and entity management.
- Exceptional drafting and negotiation skills, with an ability to balance legal risk against business objectives.
- Strong interpersonal and communication skills; adept at collaborating with stakeholders at all levels.
- Proactive mindset, meticulous attention to detail, and ability to manage competing priorities in a fast-paced environment.
Nice to Have:
- Experience at a late-stage private or pre-IPO company.
- Familiarity with public-company readiness, IPO processes, and 34 Act filings.
- Experience negotiating procurement/commercial agreements.
- Experience with debt financings.
