Corporate Counsel

You Are a Proactive, Business-Minded Attorney Who Enjoys Solving Complex Problems and Partnering with Stakeholders Across an Organization. as Corporate Counsel, You Will Provide Legal and Compliance Support Across a Broad Range of Business Matters, Including Contracts, Intellectual Property, Litigation Support, Corporate Compliance, and Legal Operations.

You Will:
  • Manage Enterprise Legal Requests. Oversee the #legal Inbox and Serve as A Primary Point of Contact for Internal Legal Support Requests.
  • Provide Day-To-Day Legal Guidance. Independently Respond to Routine Contract, Intellectual Property, and Data Agreement Inquiries.
  • Coordinate Legal Workflow. Assign Legal Matters, Track Progress, and Communicate Updates to Internal Stakeholders.
  • Maintain Legal Resources and Documentation. Manage Contract Templates, Legal Forms, and Related Documentation Libraries.
  • Support High-Volume Legal Operations. Respond to Daily Legal Requests, Follow-Up Items, and Business Inquiries in A Timely Manner.
  • Serve as A Liaison for Legal Matters. Coordinate Communications Between Internal Clients, Customers, Outside Counsel, and Other External Partners.
  • Draft and Negotiate Contracts. Provide Legal Support for Customer Agreements, Vendor Contracts, Company Templates, and Other Commercial Arrangements.
  • Advise on Contract Interpretation and Compliance. Help Business Partners Understand Contractual Obligations, Risks, and Resolution Strategies.
  • Review Intellectual Property Matters. Evaluate Advertising, Marketing, Promotional, and Customer-Generated Materials for Compliance with Copyright and Trademark Requirements.
  • Develop Intellectual Property Training. Create and Maintain Educational Resources Related to Intellectual Property Best Practices.
  • Support Litigation and Dispute Resolution. Coordinate Litigation Holds, Document Collection, Discovery Support, and Interactions with Outside Counsel.
  • Respond to Legal and Regulatory Matters. Assist with Subpoenas, Claims, Complaints, Regulatory Requests, and Related Legal Processes.
  • Conduct Legal Research. Research Legal Issues, Regulatory Developments, Privacy Matters, and Emerging Risks.
  • Protect Company Intellectual Property. Manage Intellectual Property Records and Partner with Outside Counsel on Trademarks, Copyrights, Patents, and Enforcement Activities.
  • Support Corporate Compliance Initiatives. Assist with Compliance Programs, Documentation, and Governance-Related Matters.
  • Typical/expected % of Overnight Travel: Up To 5%.

You Have:
  • Juris Doctor Degree. J.D. from An Accredited Law School with Strong Academic Credentials.
  • Minnesota Bar Admission. Active Attorney License in Good Standing in Minnesota.
  • Corporate Legal Experience. at Least 2 Years of Experience in Contracts, Litigation, Corporate Law, or A Related Legal Practice Area. Preferred 3+ Years of Varied Corporate Law Experience, or Top-Tier Contract or Litigation Experience. Familiarity with Ferpa and Education Law. Familiarity with Intellectual Property Laws, Especially Copyright and Trademark.
  • Contract Drafting Expertise. Strong Drafting, Negotiation, and Contract Review Skills.
  • Legal Research Skills. Ability to Efficiently Analyze Legal Issues and Provide Practical Recommendations.
  • Business Partnership Mindset. Ability to Balance Legal Risk with Business Objectives While Enabling Organizational Success.
