Description:
The Corporate Counsel Senior primarily supports corporate governance, public company compliance, and Board and committee operations. The role prepares Board and committee materials, supports shareholder meeting execution, manages domestic and international subsidiary governance, and assists with SEC reporting, Section 16 compliance, insider trading administration, and NYSE listing standards. The role collaborates closely with senior attorneys and cross‑functional partners across Finance, Investor Relations, Treasury, Tax, and other functions to provide practical, business‑oriented legal advice, conduct legal research, and support transactions, disclosures, policies, and compliance initiatives. The role also supports policy updates, due diligence, outside counsel management, cross‑functional projects, and day‑to‑day legal issue‑spotting across the Corporate Affairs organization.You Will:
- Prepares and coordinates Board of Directors and committee materials, including agendas and minutes, to enable effective governance, oversight, and decision‑making.
- Administers corporate governance frameworks by maintaining policies, committee charters, and related documentation to ensure accuracy, consistency, and regulatory compliance.
- Supports annual shareholder meeting planning and execution to meet legal requirements, disclosure obligations, and stakeholder expectations.
- Manages domestic and international subsidiary governance by supporting entity formations, ongoing maintenance, restructurings, and dissolutions to ensure proper corporate recordkeeping and compliance.
- Monitors corporate governance and securities law developments and advises on emerging trends and best practices to support proactive risk management and governance excellence.
- Prepares and reviews SEC filings, including Forms 10‑K, 10‑Q, 8‑K, and proxy statements, and supports Section 16 reporting and insider trading program administration to ensure timely and accurate public disclosures.
- Partners with Finance, Investor Relations, and other stakeholders to support disclosure controls, NYSE listing compliance, and coordinated public company reporting processes.
- Provides generalist legal support across Corporate Affairs by conducting legal research, supporting policy updates, due diligence, transactions, outside counsel management, and day‑to‑day legal issue‑spotting.
You Have:
- Juris Doctrate from an accredited law school required
- 1-3 years with a law firm and/or in-house legal department
- Demonstrated analytical ability and attention to detail.
- High level of curiosity, integrity, professionalism, and discretion.
- Knowledge of public company reporting and SEC compliance.
- Familiarity with corporate governance requirements and NYSE listing standards.
- Prior exposure to subsidiary governance and entity management systems.
- Illinois Bar Admission Upon Hire required
