The Basics:
A Privately Held Endpoint Security and Systems Management Company is seeking a Corporate Counsel to support A Privately Held Endpoint Security and Systems Management Company in its corporate securities and corporate governance work, along with additional responsibilities. This role will provide an opportunity to bring a base of core corporate securities and governance experience to the team, while also gaining experience in other functions of an in-house legal department. Working on diverse and complex legal and business issues, the right candidate for this role requires good judgment, flexibility, and creative/critical thinking with a practical and business-friendly approach.

This is a hybrid position, which will require in person attendance several days each week in one of the following locations: Addison, TX; Bellevue, WA; Durham, NC; Emeryville, CA; or Reston, VA.

What You'll Do:
  • Corporate governance matters for A Privately Held Endpoint Security and Systems Management Company and its international subsidiaries, including: securities law advice and compliance, preparing and maintaining regulatory filings and corporate books and records, preparing materials for board and committee meetings, entity set up and maintenance, and other corporate secretarial functions.
  • Securities financings, equity plan transactions. and M&A matters
  • Public company readiness initiatives, including SOX compliance frameworks, internal controls, disclosure procedures, and certification processes
  • Cross-functional matters in partnership with the Finance, Accounting, Tax, Treasury, Communications and People teams.
  • Other matters such as business transactions, litigation, regulatory and corporate compliance needs.

We're looking for someone with:
Experience:
  • Minimum of 3 years of experience working on corporate securities and governance matters and a broad range of corporate transactions required, with at least 2 years at a law firm required
  • Admission to at least one U.S. state bar required

Other:
  • Willingness to learn new subject areas and flexibility in assisting with the legal team's workload
  • Prior in-house corporate law experience a plus but not required
  • Demonstrated ability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize workflow and adjust to workload fluctuations
