About the role:
The Corporate Counsel role is to support our company's legal function reporting to the VP, Associate General Counsel. The principal goal is to actively help enhance our portfolio of products and services by providing legal counsel including drafting, reviewing, and advising on sophisticated agreements and corporate laws impacting various projects and company initiatives. Manage activities and relationships with outside counsel, as needed, to support company projects.

This role will consistently interact with all levels of company leadership and functions while also interfacing with customer and vendor representatives as required. This role will require a combination of strategic and pragmatic thinking, an eye for continuous organizational improvement, deep Contract drafting and negotiation knowledge, and strong project execution.

Responsibilities:
  • Evaluate new business partnerships with vendors and subcontractors and identify areas of legal risk
  • Draft and negotiate the company's contracts including services, consulting, sales and marketing, software license, NDA' and related agreements and advise the company legal rights, risks and obligations
  • Advise on contract provisions including but not limited to confidentiality, privacy, compliance, and insurance. Prepare contract amendments, SOW, and termination letters.
  • Provide legal support in the areas of global products, litigation, and IP.
  • Provide specialized legal support to Medical, Regulatory, Commercial, Marketing on corporate FDA regulations.
  • Manage legal workflow processes, management of templates, systems, an implement strategy to create efficiencies.
  • Monitor company adherence to ensure terms and conditions are met in accordance with legal requirements, customer specifications and government regulations
  • Lead and manage outside counsel as needed to support key company initiatives and projects
  • Liaise with compliance and legal colleagues as needed

Required Qualification & Skills
  • 7-10+ years of related of experience working in a highly regulated industry (pharmaceutical, biotech, and/or healthcare preferred)
  • Juris Doctor from an accredited law school
  • Licensed to practice law in TN
  • Broad range of experience pharmaceutical commercial and vendor agreements, software licensing agreements, and professional services, distribution, supply, pharmacovigilance, marketing, and sales agreements
  • Prior experience including matters involving counseling on the interpretation of FDA-related legislation and regulations.
  • Proven ability to proactively identify and analyze potential legal issues and develop creative and business focused legal advice and solutions.
  • Ability to convey legal advice clearly and effectively to non-legal colleagues plus excellent interpersonal skills and ability to work effectively with employees at all levels
  • Proven ability to cultivate strong client relationships and successfully influence leadership in a fast paced, innovative business environment.
  • Excellent written and verbal communication skills.
  • Flexibility to travel as needed.
