Job Description Summary:Greystar is seeking an experienced Corporate Counsel to support its credit origination business. This attorney will serve as a key part of our origination and capital markets teams, supporting the origination, structuring, negotiation and closing of complex real estate debt transactions. Greystar is a global investment manager with ~$78B of AUM.

Responsibilities:
Transaction Support
- Advise the origination teams on legal transaction risk in the negotiation of term sheets, loan documents, and modifications, in consultation with external legal counsel.
- Help manage the loan closing process to close loans in a timely manner, including coordinating closing checklist calls and reviewing title commitments, land surveys, environmental reports, zoning reports, and organizational documents.
- Support the post-closing and leverage process, including reviewing assignment documents, eligibility representations, and bailee, transmittal, and trust receipt documents.
- Manage legal coordination to close collateralized loan obligations (CLO), including coordinating note splits or participations, reviewing collateral eligibility representations, and monitoring compliance with applicable credit facility requirements.
- Coordinate entity formation with Greystar investment and corporate legal teams and external counsel.
- Partner with asset management and external servicers on post-closing matters, including any workout and enforcement matters.
- Provide guidance and mentorship to junior team members on legal matters.

Experience:
Core Competencies:
- 5-10 years of experience at a law firm or in-house with a lender, REIT or commercial real estate (CRE) investment firm focused on credit transactions.
- Intimate knowledge of CRE loan documentation with a command of senior mortgages, construction loans, warehouse lines, B-notes, and mezzanine and preferred equity structures.
- Law degree from an accredited law school and bar admission in good standing.
