This is an exciting opportunity in Indianapolis for a Corporate Business Counsel. Learn more about this role and how you can begin driving your career forward!

As Corporate Business Counsel, your responsibilities will include drafting, reviewing, negotiating, and finalizing a wide variety of complex commercial contracts, including sales and customer agreements, distribution and dealer agreements, joint venture agreements, M&A, and other strategic business contracts as assigned. You will also be responsible for advising on a wide variety of general corporate matters typically found in a manufacturing company with a global footprint. In addition, this role provides an opportunity to learn and assist with corporate governance and securities law compliance matters, including the monitoring of new and developing corporate governance and securities laws related rules and trends and practices, and assist in the planning and execution of the company’s Board and shareholder meetings..

In this role, you will be required to utilize your business insight, as much as your legal knowledge, in collaborating with business leadership and functional organizations to meet business objectives.

Essential Functions:
  • Partner with business stakeholders and other members of the Legal team to support commercial transactions in advancement of Allison’s core business as well as its strategic initiatives, including M&A
  • Advise internal clients on the structuring and risks inherent in commercial transactions and other corporate matters
  • Manage various day to day legal matters that arise in a dynamic corporate environment, including general counseling of various business stakeholders both domestic and international
  • Provide support for securities law compliance and SEC reporting matters, including current and periodic reports (Forms 8-K, 10-Q and 10-K), proxy statements, Section 16 filings, and other securities filings
  • Support Allison’s compliance with NYSE listing and governance requirements
  • Assist with corporate governance matters, including Board and committee support
  • Assist where needed on other legal matters, both domestic and international
  • Help to develop, implement, and continually improve company and team processes and procedures
  • Ensure appropriate internal reporting to the General Counsel and Deputy General Counsel and respective business partners, exercising good judgment on what is material to the audience.
  • Provide technically sound, practical and actionable legal advice related to commercial transactions and other corporate matters
  • Reduce legal exposure, risk, and outside spend related to the matters for which you are responsible
  • Actively partner with stakeholders to proactively assess risk and develop plans to mitigate potential adverse outcomes, as well as looks for practical ways to add value and efficiency to applicable processes
  • Proactively engage with colleagues and leadership within the Legal team to assess areas for process improvement and advocates for the adoption of measures that could improve the function

Education Requirement:
JD from accredited law school and ability to practice law in Indiana

Knowledge, Skills, and Abilities:
Required:
  • Highly motivated and collaborative partner with strong interpersonal skills and the ability to work effectively cross-functionally with other teams across all levels of the company, with other lawyers, and with members of executive leadership
  • Good judgment and a meticulous level of attention to detail
  • Excellent written and verbal communication skills with an ability to inform and influence others on complex topics
  • 5 years of experience practicing commercial or general corporate law in a law firm or corporate in-house department
  • Demonstrated ability to appropriately handle highly confidential information
  • Ability and desire to learn new areas of law and develop new areas of expertise

Preferred:
Exposure to securities laws and corporate governance matters
