We are looking for a corporate attorney who will be responsible for providing legal advice and guidance on various corporate matters, such as contracts, mergers and acquisitions, compliance, governance, intellectual property, litigation, and risk management. The ideal candidate will have a strong background in corporate law, excellent communication and negotiation skills, and a high degree of professionalism and integrity.

As a corporate attorney at A Computer Support and Services in Hurst, Texas, you will be expected to:
  • Draft, review, and negotiate various corporate contracts and agreements, such as shareholder agreements, partnership agreements, joint venture agreements, service agreements, and non-disclosure agreements.
  • Advise and assist the management and board of directors on corporate governance, fiduciary duties, and best practices.
  • Conduct due diligence and research on potential business opportunities, transactions, and partners.
  • Coordinate and oversee the legal aspects of mergers and acquisitions, such as preparing and reviewing deal documents, closing documents, and post-closing matters.
  • Ensure compliance with all applicable laws, regulations, and policies, and monitor any changes or developments that may affect the company's operations.
  • Manage and supervise external counsel and consultants on various legal matters.
  • Represent and defend the company in any legal disputes, claims, or litigation.
  • Provide legal training and education to the company's employees and stakeholders.

To be considered for this position, you must have:
  • A Juris Doctor (JD) degree from an accredited law school.
  • A license to practice law in the state of Texas.
  • At least 2-4 of experience as a corporate attorney, preferably in a law firm or in-house legal department. (preferred)
  • Expertise and knowledge in corporate law, contracts, mergers and acquisitions, compliance, governance, intellectual property, litigation, and risk management.
  • Strong analytical, problem-solving, and decision-making skills.
  • Excellent verbal and written communication and negotiation skills.
  • Ability to work independently and collaboratively with a team.
  • Ability to handle multiple tasks and projects in a fast-paced and dynamic environment.
  • Attention to detail and accuracy.
