Job Summary:
Perform sophisticated legal work spanning mergers and acquisitions (M&A), negotiation strategy, corporate governance, complex contract drafting, multi‑jurisdictional regulatory compliance, and subsidiary management across a diverse portfolio of business sectors. Coordinates routine to highly complex legal matters, partners closely with business leaders to advance divisional initiatives, conducts and oversees due diligence processes, performs statutory and regulatory research, and delivers actionable legal guidance aligned with corporate objectives. Requires the ability to navigate evolving regulatory environments, analyze enterprise risk across varied affiliate entities, and ensure governance and compliance frameworks are implemented consistently.

Position Essential Functions and Responsibilities

  • Lead or Support Legal Components of Mergers, Acquisitions, Divestitures, Joint Ventures, and Alliances Within the Affiliates' Portfolio.
  • Conduct and Oversee Due Diligence Investigations, Including Financial, Regulatory, Operational, and Contractual Reviews for Entities in Regulated and Technology‑based Sectors.
  • Draft, Review, and Negotiate Term Sheets, Purchase Agreements, Disclosure Schedules, Transition Services Agreements, and Post‑closing Compliance Requirements.
  • Draft, Revise, and Negotiate a Wide Range of Commercial Contracts, Including Technology and Saa S Agreements, Service Agreements, Vendor Contracts, Licensing Agreements, Loan Documents, Confidentiality Agreements, Agency Agreements, and Related Commercial Documents.
  • Conduct Comprehensive Legal and Risk Analysis of Complex Contract Terms to Ensure Alignment with Business Strategy and Risk Tolerance.
  • Manage Contract Negotiations with External Counsel, Vendors, Partners, and Counterparties.
  • Perform and Interpret Complex Regulatory Research Affecting Money Transmitters, Insurance Distribution Entities, Investment Advisory Firms, Saa S Operations, and Other Specialized Business Sectors.
  • Collaborate with Compliance Teams to Ensure Affiliate Entities Meet Federal, State, and Sector‑specific Regulatory Requirements.
  • Respond Promptly to Regulator Inquiries, Examinations, and Audits Across Multiple Jurisdictions.
  • Support Governance and Legal Oversight of Subsidiary and Affiliate Corporate Entities, Including Board Activities, Resolutions, Annual Filings, Officer/manager Appointments, and Corporate Record Management.
  • Draft and Maintain Organizational Documents Such as Bylaws, Operating Agreements, Shareholder Agreements, and Governance Policies.
  • Assess Legal, Regulatory, Transactional, and Enterprise Risks, and Deliver Practical Solutions to Internal Stakeholders.
  • Effectively Communicate Legal Findings to Leadership, Business Units, and External Partners.
  • Organize, Lead, and Contribute to Meetings Involving Collective Decision‑making, Cross‑departmental Initiatives, and Strategic Planning Efforts.
  • Complete Additional Projects as Assigned.

  • Strong Organizational, Prioritization, and Time‑management Skills, with The Ability to Manage Multiple Projects and Deadlines.
  • Ability to Exercise Sound Independent Judgment While Following Departmental Guidance and Strategic Directives.
  • Effectively Interface with External Contacts, Brotherhood Employees, Managers, and Department Staff Members.

Education And/or Experience:
  • Juris Doctor (jd) and Bachelor's Degree Required.
  • Active License to Practice Law in At Least One U.S. Jurisdiction.
  • Minimum of Two (2) Years of Substantive Legal Experience; Experience in M&a, Contract Negotiation, Corporate Governance, or Regulated Industries Strongly Preferred.
  • Prior Exposure to Insurance Law, Financial Regulation, Investment Advisory Compliance, Money Transmitter Laws, Saa S and Technology Contracting, or Other Specialized Regulatory Environments Is Highly Desirable.
