Position Summary:
We are seeking a proactive and business-savvy Corporate Attorney to provide legal support across a broad range of corporate, commercial, and regulatory matters. This role will be responsible for drafting and negotiating key business contracts, advising on corporate governance, and supporting risk management initiatives. The attorney will work closely with cross-functional teams—including operations, finance, compliance, and HR—to provide practical legal guidance that enables strategic decision-making and minimizes legal exposure. The ideal candidate will bring strong legal expertise, sound judgment, and the ability to navigate the complexities of the chemical industry in a fast-paced environment.

Key Responsibilities:
Contract Drafting & Negotiation:
Draft, review, and negotiate a wide variety of commercial agreements, including supply, distribution, licensing, confidentiality, joint ventures, and service agreements.

Corporate Governance:
Support board governance, corporate record-keeping, entity formation, and restructuring efforts for subsidiaries and affiliates worldwide.

Mergers & Acquisitions:
Provide legal support for due diligence, deal structuring, negotiations, and post-closing integration for acquisitions, divestitures, and joint ventures.

Risk Management:
Identify potential legal and compliance risks and implement practical strategies to mitigate them. Advise on product liability, environmental liability, and workplace safety matters.

Employment & Labor Law:
Counsel HR on employment law matters including hiring, terminations, workplace policies, internal investigations, and compliance with applicable labor laws.

Litigation Management:
Manage and coordinate with outside counsel on litigation, including product liability claims, environmental disputes, and commercial litigation.

Minimum Qualifications:
  • Active license to practice law in Ohio.
  • 6+ years of legal experience, with at least 3 years in-house or working with clients in the chemical or manufacturing sectors
  • Strong knowledge of corporate law, regulatory compliance, and commercial contracts
  • Experience with environmental law, chemical safety regulations, and international trade laws is highly desirable

Education Qualifications:
Juris Doctor (jd) Degree from An Accredited Law School
