Position Overview:
The Corporate Counsel will serve as a trusted legal advisor to the company, providing counsel on a broad range of corporate, commercial, and compliance matters. Reporting directly to the General Counsel, this role requires a business-minded attorney who can balance legal risk with strategic objectives, deliver practical advice, and build strong cross-functional partnerships.

Key Responsibilities:
  • Commercial Contracts: Draft, review, and negotiate a wide range of agreements, including MSA's, customer agreements, NDAs, licensing agreements, and distributor arrangements.
  • Regulatory & Compliance: Ensure company policies and practices comply with federal, state, and international laws; assist with compliance programs, training, and audits.
  • Cross-functional Support: Collaborate with business teams—including Finance, HR, Compliance and Operations —to deliver timely, practical legal advice.
  • Risk Management: Identify and mitigate potential legal risks affecting the business and recommend proactive strategies.
  • Mergers & Acquisitions: Support due diligence, transaction structuring, and integration of acquisitions as needed.
  • Employment & HR Support: Provide guidance on employment matters, internal policies, and dispute resolution (in partnership with HR).
  • Intellectual Property: Oversee protection of company IP, coordinate with external counsel on filings, and advise on IP strategy.
  • Dispute Resolution: Manage pre-litigation disputes and coordinate with outside counsel on litigation or arbitration.

Qualifications:
Qualifications
  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 4+ years of relevant legal experience in a corporate legal department or reputable law firm (in-house experience preferred).
  • Strong background in corporate law, commercial contracts, and compliance.
  • Excellent analytical, communication, and negotiation skills with a pragmatic approach to problem-solving.
  • Ability to manage multiple projects simultaneously in a fast-paced environment with minimal supervision.
  • High ethical standards, sound judgment, and a collaborative mindset.

Preferred Skills & Experience:
  • Experience in technology, manufacturing, or other industrial sectors.
  • Familiarity with data privacy, cybersecurity, or international regulatory frameworks.
  • Comfort working in a global organization with cross-border transactions.
