An Architecture Firm in Dallas, Texas is actively seeking an experienced Corporate Attorney to join our Dallas office to support the Chief Legal Officer (CLO) and Assistant General Counsel (AGC). This person will exercise good judgment, be able to work independently without significant oversight, have strong analytical and problem-solving skills, as well as excellent verbal and written communication skills. The Attorney will represent An Architecture Firm in Dallas, Texas culture, philosophy, and brand by assisting others in a client-centric, courteous, and professional manner always.

Responsibilities:
  • Oversight of negotiating and drafting commercial contracts and An Architecture Firm in Dallas, Texas office leases
  • Assist CLO and AGC regarding all stages of M&A deals, including structuring, due diligence, negotiation, contracts, and closing.
  • Conduct thorough legal and factual research to identify potential risks, liabilities, and legal issues associated with transactions.
  • Provide counsel on corporate structure, board matters, shareholder rights, and compliance with federal and state regulations.
  • Stay current on all relevant laws and regulations to ensure that business transactions are compliant and risks are mitigated.
  • Work closely with cross-functional teams, including principals and corporate officers.
  • Management of internal forms and correspondence
  • Coordinate with CLO, AGC, and outside counsel, as necessary.
  • Other duties and responsibilities as determined by CLO and AGC.
  • Assist with ESOP administration.
  • Entity formation and maintenance, both domestic and international.
  • Assistance with shareholder records.

Qualifications:
  • This role is an in-office position
  • 8+ years of experience in a corporate legal team or as a transactional attorney, with a track record of handling complex business transactions.
  • Strong understanding of corporate law, contract law, and regulatory compliance.
  • Strong time-management skills.
  • Experience in dealing with corporate compliance matters.
  • Ability to use discretion and maintain confidentiality.
  • Ability to complete tasks without detailed instructions or oversight.
  • Experience providing quality service; building relationships with internal and external clients.
  • Experience supporting senior leadership.

Desired Qualifications:
  • 12+ years of experience in a corporate legal team or as a transactional attorney, with a track record of handling complex business transactions.
  • Experience in oversight of paralegals, legal assistants, and contract administrators.
