A Law Firm in Buffalo, NY is seeking a Corporate Attorney to join the firm.

Candidates must possess a high degree of initiative, excellent negotiation, analytical and communication skills, strong background of corporate finance, a comprehensive understanding of business structures, as well as experience in performing thorough due diligence in business transactions.

Responsibilities:

Handle complex legal matters such as purchase/master agreements, term and conditions, sale, and distribution agreements.
Assist with initial non-disclosure agreements, and contract preparation, review, and negotiation.
Develop contract standard terms and conditions and to comply with legal changes and developments.
Support mergers and acquisitions during negotiation, due diligence, and contract drafting.
Assist in the interpretation of contract documents and in the resolution of disputes related to contract terms.

Qualifications:

Juris Doctor (JD) degree from an accredited law school.
Licensed in New York State to practice law.
At least ten (10) years of experience negotiating and drafting high-value commercial contracts.
