As a Corporate Attorney you will support the Corporate Secretary function by providing legal counsel and execution support for corporate governance activities, including Board and committee matters and subsidiary governance management. This role will also assist with maintaining corporate compliance, supporting governance processes, and advising on legal requirements impacting corporate structure and operations. This position is designed for an early-career attorney who will work closely with senior legal leaders and business stakeholders to ensure effective governance practices across the organization.
What Will You Do?
- Support the preparation and review of Board of Directors and committee materials, including drafting and reviewing agendas, consents, officer/secretary/incumbency certificates, resolutions, minutes, and governance documentation.
- Assist in advising on corporate governance best practices and applicable legal and regulatory requirements.
- Manage domestic and international subsidiary governance activities, including entity formation, maintenance, and dissolution, and ensuring compliance with jurisdictional requirements.
- Maintain digital and physical corporate records, including charters, bylaws, minute books, entity databases, and governance documentation.
- Support regulatory filings and compliance tracking for corporate entities, including annual reports and required filings.
- Assist with annual meeting preparation, shareholder communications, and related regulatory filings.
- Coordinate with internal stakeholders, external counsel, and corporate secretariat resources to support governance processes.
- Conduct legal research related to corporate governance, regulations, and compliance requirements.
- Assist in drafting and reviewing corporate policies, procedures, and governance-related documents.
- Support corporate transactions and organizational changes, including integration and governance due diligence.
- Assist with special projects, governance initiatives, and process improvements.
What Do You Need?
- Juris Doctor (JD) from an accredited law school.
- Active bar admission in at least one U.S. jurisdiction (or ability to obtain admission).
- 2–5 years of experience in a corporate practice group at a law firm or at a publicly-traded company, with exposure to corporate governance, entity management, or transactional work.
- Experience drafting and reviewing corporate documents, including agreements, board materials, and governance-related documentation.
