Position Overview:Dever, Eby & Issa, PLLC is seeking an experienced Corporate Attorney to support a growing portfolio of business clients across a wide range of corporate and transactional matters. This role is ideal for an attorney with strong experience advising closely held businesses, drafting and negotiating commercial agreements, and providing practical, business-focused legal guidance.
Key Responsibilities:
- Serve as a trusted legal advisor to business clients by providing practical, strategic guidance across a broad range of corporate matters
- Advise clients on entity formation, restructuring, and governance, including corporations, partnerships, and limited liability companies, with attention to long-term business goals
- Lead and support corporate transactions, including mergers, acquisitions, asset purchases, and ownership transitions, from initial due diligence through closing
- Draft, review, and negotiate commercial and corporate agreements, including operating agreements, shareholder agreements, partnership agreements, and joint venture contracts
- Counsel clients on regulatory and compliance matters, ensuring adherence to applicable federal, state, and local laws affecting their operations
- Identify legal and operational risks and collaborate with clients to develop risk-mitigation strategies aligned with business objectives
- Support resolutions of business disputes through negotiation, mediation, arbitration, or litigation support, as appropriate
- Advocate for clients' interests while maintaining the highest standards of professionalism, ethics, and client service
- Monitor developments in corporate law and business regulations to provide current, informed legal advice
- Collaborate with attorneys, paralegals, and administrative staff to deliver efficient and high-quality legal services
Requirements:
- Juris Doctor (JD) from an accredited law school.
- Minimum 5 years of experience in corporate law or a closely related field.
- Active license and good standing with the State Bar of Michigan
- Demonstrated experience handling corporate and business law matters independently
- Excellent legal research, writing, and communication skills.

Compensation:
- Base salary plus fee-split compensation structure
- Total earning potential up to $125,000 annually, based on experience, productivity, and caseload
