Key Responsibilities:
  • Represent clients in mergers, acquisitions, asset purchases, and equity transactions.
  • Manage due diligence processes and directly collaborate with clients to prepare disclosure schedules.
  • Draft and negotiate ancillary closing documents and support deal closings.
  • Handle entity formation, restructurings, and ongoing corporate governance matters.
  • Prepare board and shareholder consents, resolutions, and organizational documents.
  • Advise clients on general corporate matters throughout the business lifecycle.
  • Serve as a point of contact for clients on assigned matters.
  • Contribute to internal deal tracking and matter management processes.

Qualifications:
  • 2–4 years of corporate law experience with a focus on M&A, entity formation, and corporate governance.
  • Admitted to practice in New York and/or New Jersey, with willingness and ability to waive into the other jurisdiction within one year.
  • Strong drafting, analytical, and organizational skills.
  • Ability to manage multiple matters in a fast-paced environment.
  • Collaborative, entrepreneurial mindset with excellent attention to detail.
