Key Responsibilities:
- Represent clients in mergers, acquisitions, asset purchases, and equity transactions.
- Manage due diligence processes and directly collaborate with clients to prepare disclosure schedules.
- Draft and negotiate ancillary closing documents and support deal closings.
- Handle entity formation, restructurings, and ongoing corporate governance matters.
- Prepare board and shareholder consents, resolutions, and organizational documents.
- Advise clients on general corporate matters throughout the business lifecycle.
- Serve as a point of contact for clients on assigned matters.
- Contribute to internal deal tracking and matter management processes.
Qualifications:
- 2–4 years of corporate law experience with a focus on M&A, entity formation, and corporate governance.
- Admitted to practice in New York and/or New Jersey, with willingness and ability to waive into the other jurisdiction within one year.
- Strong drafting, analytical, and organizational skills.
- Ability to manage multiple matters in a fast-paced environment.
- Collaborative, entrepreneurial mindset with excellent attention to detail.
