A Federation of Motor Clubs Throughout North America is hiring for a Corporate Attorney to join our team! This position is responsible for providing guidance and support on organizational legal issues and in a wide variety of circumstances in order to enhance the ability of the Organization's leaders to make informed business decisions in a manner consistent with applicable laws, regulations, and professional and business ethics. This role supports Assistant General Counsel and Chief Legal Officer with special projects and daily work assignments.

This position will work on a hybrid schedule (onsite & work-from-home), and can be based in Cincinnati, OH or Wilmington, DE.

The primary duties of the Corporate Attorney are to:
  • Provide advice and counsel across multiple areas of business law related to an organization's legal rights and obligations.
  • Provide legal advice/counsel in business-related areas of expertise (e.g., corporate law, real estate, tax, business litigation, transactions/anti-trust, compliance, intellectual property, employment/labor, corporate governance, ethics, etc.).
  • Understanding of privacy and data protection laws and related frameworks.
  • Advise on privacy and data protection matters, including developing templates and supporting the implementation of privacy policies and procedures to safeguard the organization's data and customer information.
  • Participate in cybersecurity and privacy projects as they arise.
  • Assist with data privacy and cybersecurity issues related to third party transactions and arrangements.
  • Lead tracking of privacy and data security laws and support organization's implementing necessary changes required under law.
  • Research, analyze, and interpret proposed and existing laws, statutes, and regulations.
  • Research, analyze, identify, evaluate, and address issues of legal risk.
  • Structure, draft, negotiate and/or approve legal contracts, letters of agreement, policies and other documents related to a variety of trade, commercial, financial, and operational matters.
  • May represent/advocate for the organization in litigation, arbitration, mediation or other disputes with courts, government agencies, or other legal authorities.
  • Liaise with external legal counsel on specialized legal issues and litigations.
  • Research and analyze laws and regulations for clients.
  • Gather evidence to formulate defense or to initiate legal actions.
  • Develop company policy and position on legal issues.
  • Advise business leaders and ensure compliance with rules and regulations.
  • Other duties as assigned.

Minimum Qualifications:
  • Juris Doctor Degree.
  • 3-5+ years of active practice of the law as a litigator and advisor on legal matters as an in-house corporate attorney or applicable private practice.
  • Current admission to a state bar.
  • Current continuing legal education accreditation.
  • Demonstrated understanding and knowledge of the law as it pertains to the Organization's business areas.
  • Ability to exercise discretion and employ independent judgment with respect to the counseling of clients on legal matters.
  • Ability to represent the Organization effectively in matters involving communications of any kind with parties outside the Organization.
  • Ability to maintain and continue to develop legal expertise and business knowledge in all matters upon which advice and counsel is offered.
  • Analytical ability and strong attention to detail.
  • Excellent written and oral communication skills.
  • Proficient in Microsoft Office (Word, Outlook, etc.).
  • Excellent organizational skills.
