Day Pitney is seeking an associate with a minimum of six years of demonstrated experience in investment management, private funds, and related corporate transactions to join our growing team. This position may be based in any of Day Pitney's offices in Connecticut, Florida, Massachusetts, New Jersey, New York, Rhode Island, or Washington, D.C.We are seeking candidates with significant experience representing investment managers and sponsors in the formation and operation of open- and closed-end private funds, including hedge funds, private equity, venture capital, private credit, and real estate funds. Candidates should have substantial experience drafting and negotiating sophisticated investment management and fund-related documents and advising investment managers regarding regulatory and compliance matters. Relevant experience includes preparing and reviewing private placement memoranda, limited partnership and limited liability company agreements, subscription agreements, side letters, investment management and sub-advisory agreements, and investment manager marketing materials.
Candidates should also have meaningful experience representing family offices, including:
- Structuring, restructuring, and forming single- and multi-family offices and documenting investment management and other services among family office entities, family members, and affiliated investment vehicles;
- Structuring, negotiating and documenting direct investments, co-investment transactions and related special-purpose vehicles involving family offices and other investment group participants; and
- Structuring and documenting executive employment agreements and incentive equity arrangements for family-office personnel, including co-investment, profits-interest, and carried-interest plans.
Additional preferred experience includes:
- Experience representing institutional investors, such as public and private pension plans, endowments, foundations, insurance companies and other sophisticated investors, in connection with investments in private funds, separately managed accounts, co-investments, and strategic investment arrangements.
- Experience reviewing and negotiating limited partnership agreements, side letters, subscription agreements, investment management agreements and related governance, economic and investor-protection terms on behalf of institutional investors.
- Experience negotiating and documenting strategic joint ventures, private equity and venture capital financings, mergers and acquisitions, and other general corporate matters.
The successful candidate will be expected to assume substantial responsibility for sophisticated matters, manage multiple workstreams, supervise junior attorneys, and work directly with clients in a collaborative, entrepreneurial environment.

Requirements:
- Minimum of six years of demonstrated experience in investment management, private fund formation, family office matters, or institutional investor representation;
- Substantial experience drafting and negotiating sophisticated fund, investment management, and corporate transactional documents;
- Ability to manage matters and client relationships with appropriate independence and judgment;
- Experience supervising and mentoring junior attorneys;
