Description:
Essential Duties and Responsibilities:- Advise clients on mergers, acquisitions, divestitures, and other strategic business transactions.
- Conduct and manage legal due diligence in connection with mergers and acquisitions and other corporate transactions.
- Draft, review and negotiate purchase/sale agreements, ancillary transaction documents and other commercial agreements.
- Prepare and coordinate closing documents and oversee transactions through closing and post-closing activities.
- Counsel clients on corporate governance, entity formation, organizational matters and ongoing business operations.
- Build and maintain strong client relationships while contributing to business development initiatives and the firm's collaborative culture.
Qualifications and Education Requirements:
- Minimum two years of experience primarily in commercial or transactional work
- Excellent writing and drafting skills
- Proven ability to work within fast-paced team environment with multiple deadlines and internal and external demands
- Superior organizational and time management skills
- Ability to work full-time, including variable hours that flex with client needs
- Excellent verbal and written communication skills
- Interest in a collaborative, intellectually stimulating environment with a strong desire to contribute to team and client success
- J.D. from ABA accredited law school
- Admitted or eligible for admissions to practice in the State of Wisconsin.
