Essential Duties and Responsibilities:
  • Advise clients on mergers, acquisitions, divestitures, and other strategic business transactions.
  • Conduct and manage legal due diligence in connection with mergers and acquisitions and other corporate transactions.
  • Draft, review and negotiate purchase/sale agreements, ancillary transaction documents and other commercial agreements.
  • Prepare and coordinate closing documents and oversee transactions through closing and post-closing activities.
  • Counsel clients on corporate governance, entity formation, organizational matters and ongoing business operations.
  • Build and maintain strong client relationships while contributing to business development initiatives and the firm's collaborative culture.

Qualifications and Education Requirements:
  • Minimum two years of experience primarily in commercial or transactional work
  • Excellent writing and drafting skills
  • Proven ability to work within fast-paced team environment with multiple deadlines and internal and external demands
  • Superior organizational and time management skills
  • Ability to work full-time, including variable hours that flex with client needs
  • Excellent verbal and written communication skills
  • Interest in a collaborative, intellectually stimulating environment with a strong desire to contribute to team and client success
  • J.D. from ABA accredited law school
  • Admitted or eligible for admissions to practice in the State of Wisconsin.
