Delaware Office Overview
GT has one of the largest- and longest-standing Delaware offices among national firms operating in the state. The Delaware office includes attorneys in the firm's corporate (including both governance and M&A), corporate and commercial litigation, bankruptcy, and IP practices. The Delaware corporate practice works closely with global offices on the full range of governance and transactional matters touching on Delaware corporate internal affairs and entity law, including statutory and fiduciary issues arising in M&A, public offerings, investment fund transactions, joint ventures, debt and equity financing transactions, liquidations and reorganizations, governance contests, and statutory ratifications, as well as Delaware corporate and commercial litigation matters.

Job Qualifications:
The ideal candidate will have:
  • 1-5 years of substantive experience with transactional, governance and fiduciary matters involving the DGCL and fiduciary duties applicable to Delaware corporations, including M&A, public offerings, debt and equity financing transactions, and governance contests.
  • Prior experience working in a major law firm in Delaware or reputable corporate practice with significant focus on Delaware corporations is preferred.
  • Strong ability and desire to work both independently and in a fast-paced, team-oriented environment.
  • Excellent academic credentials and the ability to concisely and effectively communicate complex matters in oral and written form.
  • Delaware bar admission.
