The Opportunity:
We have an exciting opportunity for a Corporate Associate with 2-4 years of experience in either our Atlanta, GA or Washington, DC office.

The Day-To-Day:
As an associate in the Corporate Department, you'll have the opportunity to work on interesting, challenging, and groundbreaking cases in collaboration with senior attorneys.

You Have:

• 2-4 years of substantial corporate transactional experience (preferably specific to either institutional investor representation or fund formation).
• Experience drafting and negotiating transactional agreements, including ancillary documents and diligence reports in connection with the acquisition and disposition of public and private companies. licensing agreements, and other commercial agreements. The ideal candidate will have experience drafting and negating transaction documents (including ancillary documents such as side letter) for the subscription to or formation of private investment vehicles.
• The ability to manage smaller transactions, be capable of independent responsibility for major documentation and components of larger transactions.
• Top law firm experience preferred.
• Excellent academic credentials, analytical skills and verbal and written communication skills.
• Candidates must be admitted to the practice of law in the State of Georgia or Washington, D.C. (or be willing to become admitted in the State of Georgia or Washington, D.C. in the near term).
