Our Energy, Infrastructure and Project Finance team seeks one mid-level project finance (M&A) attorney to join our group in any of our domestic offices. The ideal candidates should have between 3-5 years of experience.

Sheppard Mullin is a global AmLaw 50 full-service law firm with over 1,200 attorneys across 16 offices worldwide. Our Energy, Infrastructure and Project Finance team comprises over 125 attorneys across the firm, representing some of the largest and most innovative energy industry players, including leading utilities, pipeline operators, municipalities, independent power producers, commercial banks, equity, and tax investors. EPC contractors and energy technology companies come to us for assistance on their most important energy related legal matters.

This is an opportunity to represent clients in a growing industry and have substantive responsibility with client contact working on a variety of transactions regarding the representation of sponsors and financing parties in connection with the development, acquisition, and financing of renewable energy projects.

We are interested in candidates who have experience in the following areas, specifically with renewable energy projects:
  • M&A work in the electricity generation and storage industry (cash equity investments, joint ventures, acquisitions/sales of portfolio of renewable of projects).
  • Experience and strong familiarity with drafting and negotiating term sheets, equity capital contribution agreements, partnership agreements, joint venture agreements, membership interest purchase agreements, purchase agreements, related guarantees, estoppels and other ancillary equity documents.
  • Some familiarity with project development and project operation contracts such as EPC Contracts, Supply Agreements, Offtake Agreements, O&M Agreements.
  • Some familiarity with common project and portfolio finance structures.

Requirements and Details:
  • 3-5 years of experience in the energy industry at a large law firm with a national reputation or comparable in-house counsel role.
  • Excellent oral communication, writing, research, and analytical skills.
  • Ability to manage deal terms throughout the process of a transaction, take ownership of projects, work effectively as a member of a team, and communicate directly with clients and third-party advisors regularly.
  • Strong academic credentials from top-tier law school.

We will consider strong candidates for all domestic US cities in which Sheppard Mullin has offices, preference is given to Los Angeles, Century City, and San Francisco.

The pay range for this position is $260,000 - $365,000.
