Transforming Age is excited to hire our next Assistant General Counsel! This role acts as Risk Manager for the organization as well as support for the General Counsel in providing a wide range of legal advice and guidance to Transforming Age and its affiliates. This role involves assisting in managing the legal affairs of the organization, ensuring compliance with applicable laws and regulations, and supporting the insurance program by facilitating renewals and claims management including but not limited to reporting, monitoring, and providing discovery assistance for employment, work comp, GL, and PL claims.

Our Assistant General Counsel:
  • Develops and Implement Risk Management Policies & Strategies: Create comprehensive policies and procedures to identify, assess, and mitigate potential risks across the organization.
  • Conducts Risk Assessments: Regularly evaluate and analyze risks that could impact the company's operations, reputation, and/or financial stability.
  • Coordinates with Departments: Work closely with various departments to gather information on potential risks and ensure risk management strategies align with company objectives.
  • Provides Training and Promote Risk Awareness: Educate staff about risk management practices and foster a culture of risk awareness within the organization.
  • Monitors Compliance: Ensure the organization adheres to regulatory requirements related to risk management.
  • Supports Insurance Programs: Support GC with the company's insurance program by facilitating renewals, reporting, and claims management.
  • Communicates with Stakeholders: Provide regular updates to stakeholders about risk management activities and emerging risks.
  • Maintains Risk Register: Track and prioritize identified risks, ensuring effective communication and understanding of risks at all organizational levels.
  • Assists the General Counsel in all matters such as legal issues and risk management related to the organization's operations, policies, and procedures.
  • Provide legal advice on a wide range of issues including corporate governance, corporate structure, labor and employment law, intellectual property, contracts, litigation, and regulatory compliance.
  • Manages and oversees outside counsel, including being the point of contact and monitoring billing, on various legal matters, including litigation and regulatory inquiries.
  • Stays up-to-date on relevant laws, regulations, and legal trends that may impact organization's operations.
  • Reviews all incoming demands, subpoenas, requests for production of documents, and liens, ensuring that all deadlines are met in responding to requests.
  • Counsels management regarding drafting, implementing, and enforcing policies and procedures related to legal and risk management matters, and handle arbitration and litigation along a full range of employment and labor relations law issues.
  • Drafts, reviews, and negotiates various legal documents, such as contracts, leases, licenses, and agreements.
  • Promotes the Mission, Vision and Values of Transforming Age in all areas of responsibility, and demonstrate commitment to Culture of Excellence and strategic goals.
  • Performs other duties as assigned.

What You Need to Succeed:
  • Juris Doctorate received from an accredited law school.
  • Active and current license to practice law in at least one US jurisdiction with good standing.
  • 5+ years of legal experience in a law firm or corporate legal department handling corporate and transactional matters, preferably with a focus on general corporate matters.
  • Demonstrated independent experience managing large-scale projects from conception to implementation.
  • Occasional regional and overnight travel required.
  • Ability to travel approximately 20% of the time.
  • Experience with senior living, healthcare, hospitality or multi-family real estate projects highly preferred.
  • Familiarity with Stark and AKS laws is a plus.
  • Advanced knowledge of risk management, Insurance, contract, administrative, transactional, and corporate law.
  • Comprehensive knowledge of state and federal employment laws and regulations.
  • Excellent verbal and written English communication skills.
  • Excellent communication and interpersonal skills, with the ability to effectively communicate complex legal concepts to both legal and non-legal stakeholders.
  • Demonstrated ability to work collaboratively in a team environment.
  • Strong business acumen and the ability to understand the organization's goals and objectives while taking costs into consideration.
  • Demonstrated skills in Microsoft Word, Teams, Excel, PowerPoint and Outlook, Internet and Intranet navigation.
  • Demonstrated ability to work in a fast-paced environment and effectively manage multiple projects simultaneously, and multiple locations, producing and communicating results.
  • Demonstrated ability to develop and maintain effective relationships with executive management team, business partners, and team members at all levels.
