The Contracts Counsel will report to the General Counsel of the Marmon Electrical, Plumbing & Refrigeration, and Metal Services (“MEPRM”) Groups, and will be tasked with drafting, reviewing, and negotiating the commercial agreements arising out of the operations of these three Groups. This role will also work closely with Marmon Legal's contracts team to strengthen Marmon's internal contracting function, including developing standardized templates within a new CMS system and integrating AI functionality into the contract review process in a targeted, constructive manner.

The Contracts Counsel will be an energetic, talented commercial lawyer with strong negotiating skills and pragmatic business sense to partner with management and the businesses. This person will also be a valued member of the Marmon Legal contracts team who will actively collaborate with other team members to help define best practices and processes for contracting across Marmon.

The position will be full-time and will have the flexibility to be hybrid – a blend of working from one of Marmon's Chicagoland offices as well as working remotely, with periodic travel as needed.

What You'll Do:
  • Draft, review, and negotiate a wide range of commercial agreements supporting the operations of MEPRM, including key topic areas such as sales, manufacturing and supply, regulatory matters, intellectual property, and professional services
  • Engage with external counsel as required, as well as Group and business unit stakeholders, regarding commercial contract reviews and negotiations; provide guidance to MEPRM leadership regarding the same
  • Work with the Marmon contracts team on an ongoing basis to assess and deploy AI usage within contracting tools, and develop and refine templates, policies, procedures, and related material for the larger Marmon legal team and firm-wide business partners to standardize and improve contract review processes
  • Serve as a key business and legal partner by virtue of technical competence, excellent business judgment, and ability to develop relationships throughout the organization
  • Demonstrate in-depth understanding of business operations and objectives to assess and mitigate risk
  • Collaborate with and provide actionable advice and creative solutions to business partners on a range of business and strategic issues
  • Assist with dispute resolution and contract enforcement as needed
  • Collaborate with Marmon's General Counsel for MEPRM, each Group's designated Chief Compliance Officer, as well as management and the individual business units to ensure MEPRM's compliance with Marmon's ethics and compliance policies and protocols
  • Support the business units in promoting the adoption of Marmon's Supplier Code of Conduct, and oversee associated vendor assessments related to FCPA, export controls and the mitigation of risk of unethical conduct, such as through forced labor and human trafficking

What You'll Bring to the Role:
  • J.D. from an accredited law school, with proven academic success
  • 6-10 years of relevant commercial law experience negotiating sophisticated multinational agreements in-house and/or with a law firm
  • Strong knowledge of laws and regulations related to global manufacturing, sales, and distribution
  • Ability to thoughtfully contribute and become a trusted member of Marmon's growing internal contracts team, including collaboration with an experienced group of attorneys, paralegals, and other professionals
  • A high degree of self-motivation with strong attention to detail, superior organizational and analytical skills, and exceptional reliability in task completion
  • Proven ability to drive sophisticated global transactions and initiatives to completion in a fast-paced and entrepreneurial setting
  • Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, and personal style
  • Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial, and to take unpopular positions when necessary while maintaining trust and credibility
  • Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts and risk assessments to a lay audience
  • Proven success in effectively managing, organizing, and completing multiple tasks and priorities efficiently and independently
  • License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Illinois

Pay Range:
166,400.00 - 249,600.00
