About DHIN
The Delaware Health Information Network (DHIN) is the nation's first statewide health information exchange. Established by statute as a not-for-profit public instrumentality, DHIN's statutory mission is to facilitate the design and implementation of an integrated, statewide health data system to support the information needs of consumers, health plans, policymakers, providers, purchasers, and researchers to improve the quality and efficiency of health care services in Delaware. DHIN thus serves as an aggregator of health data from disparate sources and provides services to make that data useful in a variety of settings and to a variety of users. DHIN has collected and aggregated clinical data since 2007, and additionally administers Delaware's All Payer Claims Database, with claims data from 2013 forward. Participation in DHIN by the health care community of Delaware is nearly universal, with expansion beyond state borders now also established.

Position Overview:
The Contracts and Compliance Counsel serves as a key member of the Legal team, reporting directly to the General Counsel. This role is responsible for drafting, reviewing, and negotiating customer and supplier contracts to ensure compliance with legal requirements and DHIN policies. This position also supports the development and implementation of policies, procedures, and compliance programs that manage legal and regulatory risk. Working closely with internal teams and external stakeholders, the Contracts and Compliance Counsel provides timely, practical guidance on legal and compliance matters and assists in managing corporate registrations, state compliance obligations, and DHIN's Privacy Program.

The ideal candidate has strong experience in contract negotiation, preferably within the technology or healthcare sectors, and a working knowledge of data privacy and healthcare regulations such as HIPAA. This position requires exceptional judgement, attention to detail, and the ability to collaborate effectively in a fast-paced, mission-driven environment.

DHIN's main office is located in Dover, DE. While this position will have the flexibility to work remotely, some in-office work is required.

Duties and Responsibilities:
  • Provide legal advice and guidance on contracts, legal risks, and business terms.
  • Draft, negotiate, and manage contractual documentation.
  • Assist in managing DHIN's contractual relationships with suppliers and customers, including compliance with service level agreements.
  • Develop, implement, and maintain corporate policies relevant to contract and compliance functions.
  • Assist with the intake and prioritization of legal and contractual requests.
  • Draft regulatory and legislative documents.
  • Maintain up-to-date knowledge of federal and state laws and regulations that may affect DHIN and its customers.
  • Assist the technology and service design teams in developing services and programs that comply with relevant state and federal legal requirements.
  • Escalate complex matters to the appropriate level of oversight and work directly with outside counsel in addressing particular legal needs.
  • Perform legal research and provide associated advice to employees at all levels.
  • Support the General Counsel with the development, operation, and improvement of DHIN's Privacy Program.
  • Ensure compliance with state statutes and regulations governing the operation of health information exchanges in the areas in which DHIN operates.
  • Function as a practitioner of continuous service improvement.
  • Other duties as assigned.

Qualifications:
  • Juris Doctor (JD) degree from a fully accredited law school.
  • Active membership in good standing with Delaware state bar, or another state bar and willingness to obtain required admittance status in Delaware within 1 year of joining DHIN.
  • 4+ years of experience as a practicing attorney, preferably in health law or technology contracting.
  • Experience with the use of legal research software, required.
  • Proficient working knowledge in contracting, procurement, compliance, and corporate governance areas of law.
  • Understanding of the State of Delaware political process, including technical experience with drafting legislation and regulations, preferred.
  • Experience with contracting or matter management platforms, preferred.
  • All DHIN employees are expected to be certified in ITIL Foundations or commit to becoming certified within the first year of employment.

Skills & Abilities:
  • Knowledge and experience in federal and state laws and regulations regarding the storage, use, and transmission of protected health information, including HIPAA, HITECH, the Federal Policy for the Protection of Human Subjects (the “Common Rule”), and 42 C.F.R. Part 2, or significant knowledge and experience in technology contracting or contracting in another highly-regulated industry.
  • Ability to provide legal advice and support to a wide range of recipients, from entry-level employees to C-Suite and Board members.

Compensation and Benefits:
  • The base salary range for this role is $169,457 to $184,213, depending on experience and credentials. There is potential for an 8% performance incentive annually based on performance against established organizational and personal goals for each fiscal year. If the full incentive is earned, the total cash compensation for this position ranges from $183,050 to $198,950.
