About the role:Sezzle is hiring a Contracts Attorney to join our growing in house Legal team. This role is the day to day owner of our commercial contracting work/vendor procurement, sales and merchant agreements, and technology transactions. You will partner closely with Procurement, Sales, Engineering, Product, and Information Security to move deals across the finish line while protecting Sezzle's commercial, regulatory, and data interests.
This is a hands on role for a contracts attorney who enjoys high deal volume, clean drafting, and pragmatic negotiation. Familiarity with data protection agreements (DPAs) and U.S. and international privacy frameworks is a strong plus and will give you room to expand the scope of this role over time.
What You'll Do:
- Draft, review, and negotiate a broad portfolio of commercial agreements, including MSAs, SaaS and cloud subscription agreements, software licenses, professional services agreements, SOWs, order forms, NDAs, and inbound and outbound technology agreements.
- Lead vendor procurement contracting end to end from intake and risk triage through redlines, negotiation, signature, and renewal in close partnership with Procurement, InfoSec, and business owners.
- Support the Sales organization on merchant and partner agreements, including pricing schedules, integration terms, marketing addenda, and bespoke enterprise deals.
- Negotiate technology agreements covering payments infrastructure, data and analytics, AI/ML services, hosting, fraud and identity, and developer tools.
- Review and negotiate data protection agreements (DPAs), standard contractual clauses, and security exhibits, coordinating with Privacy and InfoSec on positions and risk acceptance.
- Maintain and continuously improve Sezzle's contract templates, playbooks, fallback positions, and self service resources to scale legal support across the business.
- Advise internal stakeholders on contract risk, escalation paths, and practical commercial alternatives; clearly communicate “what we can live with” and “what we can't.”
- Help operate and improve our contract lifecycle management (CLM) tooling, intake workflows, signature processes, and post-signature obligations tracking.
- Track renewals, auto-renewal windows, and key commercial obligations across the vendor portfolio.
- Partner with Finance, Tax, and Accounting on contract terms with revenue recognition, tax, or capitalization implications.
- Support cross-functional projects spanning regulatory, product launches, and corporate initiatives as needed.
- Demonstrated experience working with Claude or equivalent large language model tools is required; candidates must be comfortable leveraging AI to enhance productivity, research, and communication.
What we look for:
- J.D. from an accredited U.S. law school and active bar membership in at least one U.S. jurisdiction (or eligibility for registered/authorized in house status in the relevant state).
- 5–8+ years of combined law firm and/or in house experience focused on commercial contracts.
- Demonstrated experience drafting and negotiating MSAs, SaaS agreements, technology agreements, and vendor procurement contracts at scale.
- Strong working knowledge of commercial risk concepts, limitation of liability, indemnification, IP ownership and license scope, warranties, termination, and SLA frameworks.
- Clear, concise drafting style and the ability to translate legal positions into business language.
- Excellent judgment and the ability to operate independently in a fast-paced, high-volume environment.
- Comfort working cross functionally with non lawyers across Procurement, Sales, Engineering, Product, Finance, and InfoSec.
Preferred Qualifications:
- Experience reviewing and negotiating Data Protection Agreements (DPAs), Standard Contractual Clauses (SCCs), and data processing terms under GDPR, CCPA/CPRA, and other U.S. state privacy laws.
- Familiarity with security exhibits, subprocessor terms, and cross-border data transfer mechanisms.
- Prior in house experience at a fintech, payments, lending, or other regulated technology company.
- Experience with CLM platforms (e.g., Ironclad, Agiloft, or similar) and e-signature tools.
- Exposure to AI/ML vendor contracting and emerging AI governance issues.
- Experience supporting public company processes, including 10-K/10-Q contract disclosures and material contract analysis.
