Summary/Objective:
The primary responsibilities for the position include the preparation, review, analysis, editing, processing, and tracking of agreements during their life cycle, and providing contractual correspondence to stakeholders, customers, suppliers and vendors of the company. Additional responsibilities include assisting with general contract management for the company such as maintenance of the contract's repository, organization/maintenance of equipment leases, oversight and maintenance of the company's real estate portfolio, management of outside litigation matters, and corporate compliance duties. This is a high-volume position in a deadline driven industry that requires accuracy, self-review, and an ability to collaborate with both external parties and internal clients to effectively manage legal risk.

Responsibilities:
  • Review, draft, analyze, and negotiate a variety of legal documents, including confidentiality agreements, lease agreements, equipment purchase agreements, carrier agreements, general terms and conditions, master service agreements, consulting agreements, etc.
  • Ensure consistency of contract terms with company policies and goals.
  • Maintenance of company's real estate portfolio, including ensuring property leases are renewed or terminated timely, as needed.
  • Diligently work to reduce company's contractual risk.
  • Work with others in the legal department, company's risk management department, and other company business units to analyze scenarios and offer sound legal advice.
  • Support all aspects of dispute resolution, including assisting with litigation management. This includes, but is not limited to, responding to discovery requests and/or maintaining claim documentation.
  • Work to ensure the company is compliant in all states in which it performs work.
  • Other duties may be assigned.

Required Skills and Experience:
  • Must be licensed by the State Bar (preferably Texas) and in good standing.
  • Must possess good analytical skills and strong attention to detail.
  • Must possess the ability to originate, analyze, negotiate, structure, prepare, and present risk assessments and analysis.
  • Must possess strong organizational skills, attention to detail, and the ability to manage multiple priorities while working independently to contribute to the operations process.
  • Must possess exceptional written and oral communication skills with both internal and external parties.
  • Ability to conduct legal research and draft opinion, position and memorandum correspondence as directed.
  • Proficient within the Microsoft suite of software.
  • Preferrable 3-5 years of experience in a law firm or corporate legal department.

Physical Requirements:
  • Ability to sit at a desk and work on a computer for extended periods of time.
  • Must be able to lift to 15 pounds at times.
