Description:

Pacific Ivy Law Group is seeking an experienced attorney to negotiate confidentiality agreements (NDAs) on behalf of leading private equity firms and institutional investors.

This is a fully remote, long-term opportunity for a commercially minded attorney with strong negotiation skills, sound judgment, and the ability to independently manage multiple matters in a fast-paced transactional environment.

Responsibilities:
  • Review, draft, and negotiate NDAs in connection with private equity investments, acquisitions, and other corporate transactions.
  • Independently manage multiple negotiations from initial review through execution, applying client-specific guidelines and sound commercial judgment.
  • Communicate promptly and professionally with clients, counterparties, and internal team members.
  • Meet 24-hour turnaround expectations for standard assignments and same-day deadlines for rush matters.
  • Proactively manage competing priorities, follow up on outstanding negotiations, and escalate significant issues as appropriate.

Qualifications:
  • J.D., LL.M., or equivalent law degree, with active admission to at least one U.S. state bar.
  • Minimum five years of relevant corporate or commercial legal experience, including substantial experience negotiating confidentiality agreements.
  • Prior in-house, private equity, investment management, or M&A experience strongly preferred.
  • Excellent drafting and negotiation skills, commercial judgment, attention to detail, and responsiveness.
  • Ability to manage multiple matters independently and meet tight deadlines.

Schedule and Availability

  • Consistent availability Monday–Friday, 9:00 AM–5:00 PM Eastern Time, with flexibility between assignments.
  • Approximately 50 NDAs per month, with workload fluctuating based on client activity.
  • Attorneys with other flexible professional commitments are welcome, provided they can meet the responsiveness and turnaround expectations of this role.

We are seeking an attorney interested in a long-term relationship with our firm. Given the investment involved in onboarding and learning client-specific negotiation guidelines, this position is not suited for candidates seeking short-term or temporary engagements.

Compensation:
  • $70 per NDA, with additional compensation for qualifying rush assignments, where applicable.
  • Compensation varies based on assignment volume.

How to Apply:
Please submit your résumé and a brief description of your experience negotiating NDAs or other commercial agreements, particularly in private equity, M&A, or investment-related transactions.
