The Contract Attorney will work on a project basis, providing legal expertise and support to our clients while ensuring compliance with applicable laws and regulations.
Job Description:
We are looking for a highly skilled attorney with a minimum of 5 years of experience in business transactions and litigation. This is a (mostly) remote, contract position ideal for a self-directed professional who enjoys autonomy and flexibility. Occasional meeting would be required.
Responsibilities:
- Draft and review commercial contracts, service agreements, NDAs, and corporate documents.
- Advise clients on business entity formation, corporate governance, and regulatory compliance, mergers, acquisitions, and other business related transactions.
- Assist with pre-litigation matters including demand letters and settlement negotiations.
- Provide legal analysis and strategic support on business disputes.
- Communicate effectively with clients and team members.
- Conduct thorough legal research to support case preparation and strategy development.
- Draft and review legal documents, including contracts, briefs, and pleadings.
- Represent clients in court proceedings and negotiations as necessary.
- Collaborate with other attorneys and legal professionals to ensure comprehensive legal representation for clients.
- Stay updated on changes in laws and regulations relevant to practice areas.
- Maintain accurate records of all case-related documents and communications.
Experience:
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in California (required).
- Minimum 5 years of experience practicing law, with a strong focus on business transactions and business litigation.
- Strong research and writing skills with the ability to articulate complex legal concepts clearly.
- Proficient in drafting and reviewing contracts, entity formation, commercial leases, demand letters, and pre-litigation dispute resolution.
- Experience litigating cases in court is preferred but not mandatory.
- Excellent analytical skills and attention to detail with a commitment to providing high-quality legal services.
- Must be based in or near Orange County, CA.
Compensation:
Hourly, based on experience. Please include your expected hourly rate with your application.
