We're seeking a talented Commercial Counsel to join our Legal team as we counsel on cutting-edge issues at the forefront of AI and EdTech. As the second member of our team, you'll play a pivotal role in shaping our legal department and will have many opportunities for professional growth. Collaborating closely with talented teams across A Software Development Company, you'll handle a variety of complex commercial transactions and make a significant impact as we accelerate our go-to-market strategy.What You'll Do:
- Draft, analyze, and negotiate a wide range of complex commercial agreements with enterprise customers, school districts, partners, and suppliers, including collaboration, cloud services, reseller, consulting, vendor, data processing, and non-disclosure agreements
- Proactively engage with our go-to-market team, business development, and product teams to ensure that contract negotiations align seamlessly with our business strategies
- Design and launch processes to streamline our contracting workflows as our company scales and lead our effort to implement a contract lifecycle management tool
- Provide training and continuous learning opportunities for colleagues in business teams on evolving legal standards, best practices, and risk management strategies
- Build strong relationships with business leaders and other colleagues across the company
- Support our General Counsel to help scale the legal function, including developing our strategy and assisting with recruiting as our team grows
- Since we're a small legal team, you'll have the opportunity to assist with other practice areas based on your experience, interests, and professional goals
Requirements:
- J.D. degree and admission to a state bar that authorizes you to work from your preferred location
- At least 6 years of legal practice and 3 years focusing on commercial law (some in-house experience is a plus)
- A strong track record in complex contract negotiation and strategic legal advising
- Deep experience drafting and negotiating a variety of complex commercial contracts
- Strong knowledge of IP, privacy, and other legal issues relevant to commercial agreements, including GDPR and U.S. state privacy laws (familiarity with COPPA and FERPA is a plus)
- Experience with or desire and aptitude to learn AI technology and related legal issues
- Excellent verbal and written communication, time management, and interpersonal skills
- Demonstrated ability to provide risk-calibrated, business-oriented legal advice in a fast-paced environment
- A positive, growth-oriented mindset and desire to gain exposure to other practice areas
