Functions:
- Draft, review, and negotiate a variety of commercial agreements, including supply contracts, OEM and distribution agreements, software licenses, professional services agreements, technology licenses, development agreements, and NDAs.
- Provide legal guidance on contract terms and business risks to support internal clients, including Sales, Finance, Business Segment Management and Supply Chain.
- Support legal and operational teams on issues related to international trade compliance, regulatory requirements, and contract performance.
- Work cross-functionally to develop and maintain contract templates, policies, and processes that improve efficiency and minimize risk.
- Support and maintain corporate compliance programs, including those related to anti-bribery (FCPA), export controls, and ethics.
- Assist in legal due diligence, contract analysis, and integration efforts related to potential strategic transactions or partnerships.
- Provide support in drafting or reviewing public company disclosures, including SEC filings, as needed.
- Collaborate with internal stakeholders to provide training and education on relevant commercial legal topics.
- Domestic and international travel may be required (as needed, <20%).
Education - Experience:
- Juris Doctor (J.D.) from an accredited U.S. law school.
- Active member in good standing with the Massachusetts Bar.
- Minimum of 7 years of legal experience, with at least 3 years focused on commercial legal counseling.
- Prior in-house legal experience strongly preferred, particularly within a manufacturing, energy or technology company.
Required Skills, Competencies, Authorities and Training Needs:
- Deep knowledge of U.S. and international commercial law, including contract law, UCC, and laws governing international commerce (e.g., Incoterms).
- Proven ability to draft and negotiate complex commercial contracts independently.
- Strong written and verbal communication skills, with the ability to clearly and to concisely convey legal concepts to non-legal stakeholders.
- Highly organized, detail-oriented, and able to manage multiple priorities in a fast-paced environment.
- Strong judgment and ability to assess and to mitigate business and legal risks and to provide practical value-added business solutions.
- Collaborative mindset with the ability to build strong cross-functional relationships.
- Self-starter with high integrity and ethics, accountability, and professionalism.
- Familiarity with revenue recognition, commercial finance, and related accounting principles a plus.
- Working knowledge of laws and regulations related to:
- Antitrust and trade regulation.
- Intellectual property licensing (a plus).
- Foreign Corrupt Practices Act (FCPA) and global anti-bribery compliance.
- Experience supporting international business operations and managing global contracts.
- US Citizenship Required.
