Reporting to the Deputy General Counsel and Corporate Secretary, you will be responsible for a wide variety of public company and governance, general corporate and transactional matters.

We will count on you to:
  • Assist with the preparation and review of reports filed with the SEC including Forms 10-K, 10-Q and 8-K, as well as related-NYSE rules and regulations.
  • Work closely with the Investor Relations, Controllership, Tax and External Communications on earnings releases, investor conferences and disclosure issues.
  • Assist in the Disclosure Committee process.
  • Assist with potential public and private securities offerings as well as other corporate financing matters including credit agreements, commercial paper programs and other Treasury matters.
  • Oversee the corporate secretarial function. Work with the Corporate Secretary to drive essential Board-related processes, policies and matters and provide advice to the Board of Directors on fiduciary duties and oversight responsibilities.
  • Prepare sections of the proxy statement, assist with drafting of no action letters and management comments and perform annual meeting related research.
  • Be responsible for Annual Shareholders meeting, including overseeing proxy voting and ISS/Glass Lewis scores.
  • Engage with investors on governance topics.
  • Oversee the company's subsidiary management process (all foreign and domestic subsidiaries)
  • Manage and lead policies and positions on high profile issues related to Board accountability and shareholder rights and anticipate response from regulators, shareholder rights groups, the media and public.
  • Stay up-to-date and keep our legal and compliance team advised on external governance trends, SEC issues, general legal issues and best practices and reviewing and updating as necessary the firm's governance documents, policies and guidelines.

What you need to have:
  • Law Degree with 5+ years of securities & governance experience in either a law firm, major multinational company or combination of law firm and corporate experience
  • Proven experience interfacing with senior management and board members
  • Solid corporate transactional and securities experience, including equity & debt financing, public disclosures, reorganizations, and credit agreements, etc.
  • Superior presentation skills
  • Solid communications skills, both written and oral
