Reporting directly to the Senior Vice President and Global Chief Ethics and Compliance Officer, the Chief Counsel will be responsible for setting the Company's compliance strategy and internal policies and ensuring that the North American Region has a coherent and unified approach with regards to its compliance culture. The Chief Counsel will serve as a strategic advisor and co-lead the North American Risk and Compliance Committee with the North American Internal Audit team and work closely with the Senior Vice President and Chief Counsel (North America) and Senior Vice President, Finance (North America).

Key Responsibilities:
Specific responsibilities of the Chief Counsel include, but are not limited to:
  • Providing leadership and oversight for the North America Region's compliance program and serving as an internal and external point of contact for such issues.
  • Leading broad-based compliance programs and collaborating with internal and external stakeholders across all organizational levels to achieve the objectives of a robust compliance program.
  • Championing a culture of ethics and compliance through strategic thought leadership and legal advisory support for A Multinational Confectionery, Food, Holding & Beverage & Snack Food Company's North America Region.
  • Developing and rolling out policies, procedures, tools, and resources for ensuring effective compliance and governance controls (including internal investigations, training, policy management and enterprise risk management) in support of the North America Region's business objectives.
  • Providing legal advice and counsel to senior leaders and executives on a day-to-day basis regarding non-financial compliance, corporate governance, and risk management.
  • Co-leading the North American Risk & Compliance Committee with North American Internal Audit and in partnership with the SVP & Chief Counsel, North America and SVP Finance, North America.
  • Setting the strategic direction and lead the execution of the North America Compliance investigations program in partnership with Corporate Compliance and Region leaders to ensure that allegations of misconduct, potential conflicts of interest, and other issues raised by employees and others are tracked, monitored, investigated and resolved in a timely and effective manner; help drive consistency in case management and outcomes and effective follow up and training occurs in response to trends and themes.
  • Contributing to Global Compliance programs and reporting activities; collaborate with Compliance, Security and Special Investigations team members from other Regions and Business Units to build and promote a robust and cohesive culture of ethics and compliance across the global organization; and support rollout of business integrity initiatives and best practices in the North America Region.

Qualifications & Skills:
  • JD from an accredited law school and excellent academic credentials.
  • 7-10 years of experience at a major law firm, in-house and/or agency.
  • Admitted to practice law in Illinois or eligible to become licensed as in-house counsel in Illinois.
  • Strong client counseling, compliance, risk management and investigations experience required.
  • Experience assessing applicable regulatory and reputational risks with a view to preparing operational cost-benefit analyses as part of any major regulatory change initiative.
  • Experience designing, implementing, and monitoring a national or international compliance program.
  • Consumer-Packaged Goods (CPG) industry experience preferred.
  • Strong analytical, strategic vision, decision-making, and problem-solving skills.
  • Demonstrated leadership skills and experience navigating and presenting at all levels of organization, especially senior management, in a collaborative environment.
  • Significant experience assessing, advising on risk, coaching, and effectively managing dispute resolution in a multinational company.
  • Excellent team player with the ability to work well cross-functionally and in a team environment while empowering business leaders and colleagues and emphasizing accountability. An independent thinker who appreciates and offers diversity of opinion.
  • Exceptional interpersonal skills and the ability to communicate (both orally and in written form) effectively with senior business leaders and other professionals and colleagues at all levels of an organization while utilizing excellent business and legal judgment in complex situations.
