Overview:
Deutsche Bank's legal department is seeking a qualified attorney located in Jacksonville, Florida to support the Bank's Corporate Banking (CB) business, which consists of Cash Management, Trade Finance, as well as Trust and Securities Services. Your primary focus will be supporting the global Cash Management business. As part of the Corporate Bank legal team, you will provide timely counsel and legal support of domestic and global transactions in a cost-effective manner while owning diverse and complex legal issues that require excellent business judgement. What You'll Do:
  • Provide day-to-day support across the business including working with the sales, coverage and implementation units in communicating with clients, negotiating changes to both standard regional and global documentation requested by representatives of such clients and proposing and drafting compromise language
  • Advise on applicable regulations impacting cash management services, including: UCC Articles 4, 4A and 9, the NACHA Rules, OFAC and sanctions requirements, electronic signature laws, and payment systems and electronic funds transfer laws
  • Identify unusual legal, operational or credit risks and ensure that such risks are appropriately addressed and/or escalated
  • Assist with structuring new business transactions and new product offerings and endeavor to provide legal support without significant reliance on outside counsel
  • Collaborate with strategic partners in various departments, seeking guidance and input from colleagues throughout the organization to ensure solutions balance the Bank's risk framework with the Corporate Bank business needs

How You'll Lead
  • Provide advice to senior Legal Department management on transactional legal requirements, best practices and technology tools and solutions
  • Collaborate with colleagues globally in the Bank's Legal Department, Technology Data & Innovation (TDI) function and other infrastructure functions

Skills You'll Need
  • Relevant experience at a law firm and/or in-house counsel at a financial institution with emphasis on structuring, drafting and negotiating documentation for complex bank finance or commercial transactions. Prefer experience with cash management transactions including, master cash management agreements, payment services and ACH agreements, wire transfer and electronic funds transfer terms, lockbox, sweep and liquidity products and merchant services, card and digital payment documentation, deposit account control agreements and credit support documentation
  • Must possess strong communication and drafting skills and demonstrate experience in risk identification and analysis
  • JD and at least one state bar admission (active and good standing). Florida or NY preferred but will consider other locations

  • Prior in-house in or law firm experience with financial services is a plus

  • Experience operating in a fast-paced business environment

Expectations:
It is the Bank's expectation that employees hired into this role will work in the Jacksonville, Florida office in accordance with the Bank's hybrid working model. The salary range for this position in Jacksonville is $100,000 to $157,000. Actual salaries may be based on a number of factors including, but not limited to, a candidate's skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of remuneration.
