We are seeking a junior career associate to join our Fund Formation practice in the office listed above. This is a career associate position - a long-term, non-partnership-track role designed for attorneys who value high-quality transactional work, mentorship, work-life balance, and a defined professional path within a leading global law firm. The associate will work closely with partners and senior associates on fund formation matters, including drafting and reviewing limited partnership agreements, private placement memoranda, subscription documents, and side letters, with exposure to both sponsor-side and investor-side representations.
Preferred Office Location: Wheeling, WV (with remote working available from the Pittsburgh, PA area)

Responsibilities:
Prior transactional legal experience through law school clinics, internships, clerkships, or early associate work is preferred. Coursework or interest in securities regulation, investment management, corporate law, or partnership taxation will distinguish top candidates. We are especially interested in candidates motivated by the career associate model: attorneys who seek sophisticated legal work in a collegial environment with a sustainable pace and long-term professional stability.
Qualifications:
Candidates must possess a J.D. from an accredited law school and have 1-2 years of experience. Active bar membership (or eligibility for prompt admission) in West Virginia or Pennsylvania is required. Strong academic credentials, excellent written and verbal communication skills, attention to detail, and a genuine interest in a long-term career in private fund formation are essential.
