The New York office of Sidley Austin LLP is seeking qualified candidates with at least three years of experience to join its growing Capital Markets practice as associates. Responsibilities include representation of issuers, underwriters and other financial intermediaries in structuring and executing innovative and complex securities offerings and providing disclosure advice. Representative matters involve IPOs; spin-offs; privatizations; secondary equity offerings; convertible and exchangeable securities; preferred stock, regulatory capital securities and other hybrid capital instruments; equity forwards; derivative transactions and overlays; SPACs; at-the-market equity programs; high-yield debt securities; investment grade debt securities; and medium term note, commercial paper, extendible note and other global funding programs. Representative responsibilities include, drafting and negotiating capital markets transaction documentation, such as registration statements, prospectuses, offering memoranda, underwriting and placement agreements, and indentures; participating in due diligence investigations; and assisting with ongoing public-company reporting matters. Candidates must be admitted to practice law (or eligible to obtain admission promptly) in New York.Salaries vary by location and are based on numerous factors, including, but not limited to, the relevant market, skills, experience, and education of the selected candidate.
