Our Capital Markets Practice Group
We advise issuers, underwriters, and investors across the full spectrum of capital markets transactions, including IPOs, follow-on equity offerings, investment-grade and high-yield debt issuances, and convertible securities. We also represent private companies in capital-raising transactions, including private placements and Rule 144A offerings. We counsel public companies on SEC reporting and compliance obligations and corporate governance best practices, including board composition, shareholder engagement, and SEC disclosure. Our real estate investment trust (REIT) practice advises public and private REITs and real estate companies on formation, structuring, and capital-raising transactions across a broad range of real estate asset classes. Our clients range from emerging growth companies accessing the public markets for the first time to Fortune 500 companies, major financial institutions, and leading real estate sponsors.

Who You Are:
  • You are a high-performing and team-oriented capital markets associate with 1-3 years of experience in '33 Act transactional, '34 Act compliance and corporate governance matters.
  • You also have substantive experience with representing issuers, underwriters, agents, and financial institutions with respect to public and private offerings of equity and/or debt securities.
  • Your experience also includes advising public companies in connection with '34 Act reporting obligations, corporate governance, and stock exchange listing requirements.
  • You are admitted to the state bar in which you are practicing or are eligible to waive in.
