Role Description:
This is a part-time, remote contractor position for a Business Transactions Attorney on a project basis, starting immediately (estimated 5-10 hours per week). You will draft, review, and negotiate contracts, operating agreements, corporate governance documents, and other transactional instruments. You will advise clients directly on business and corporate law matters, develop legal strategies for their operations, and guide them through compliance considerations. Depending on your experience and the firm's needs, you may also support transactions involving mergers, acquisitions, investments, and restructuring. This role requires someone comfortable working with significant autonomy — we are a lean team, and you will be expected to drive matters forward with minimal hand-holding while keeping the team informed.

Qualifications:
  • Juris Doctor (JD) and active California bar license (required)
  • 4+ years of experience in business transactions or a closely related practice area
  • Strong working knowledge of California business and corporate law
  • Demonstrated ability to draft and negotiate transactional documents independently
  • Excellent analytical, research, and communication skills
  • Self-directed work style with strong organizational and time-management habits
  • Comfort working remotely in a fast-paced, small-firm environment
