Business Transactional Attorney (Securities)
An Estate Planning Attorney is seeking an experienced attorney to work in a collaborative environment on business matters. This position offers the opportunity to work on complex transactions and frequently interact with business owners and high-net-worth individuals. The ideal candidate will have specialized knowledge and experience with securities law and the ability to lead transactions.

Schedule:
  • This role is hybrid (remote/on-site)
  • 100% remote work schedule may be considered for candidates residing outside of Southern California

Responsibilities and duties include:
  • Assisting clients with raising capital, preparing private placement memorandums, subscription agreements and ensuring compliance with applicable securities laws
  • Make recommendations on company structures and advise clients on SAFE notes, convertible debt instruments, options, warrants, and other investment vehicles
  • Analyzing client's potential investment opportunities and related documents
  • Forming and maintaining business entities
  • Assisting mergers and acquisitions team
  • Collaborating with tax, trust, and estate attorneys

Requirements:
  • J.D. from an accredited law school; a member in good standing of the California Bar
  • Minimum 5-7 years' experience working as a business transactional and securities attorney
  • Strong drafting skills
  • Highly team-oriented

Physical Requirements:
  • Ability to lift and carry 30 pounds
  • Frequent standing and walking
  • Sitting for up to four hours at a time
  • Bending and stooping as needed
