We are seeking an experienced and detail-oriented Business/Transactional Associate Attorney to join our growing business practice. The attorney will advise and represent businesses, business owners, and other clients in a broad range of corporate, commercial, and transactional matters. The ideal candidate will have strong contract drafting and negotiation skills, excellent legal research and writing abilities, sound legal judgment, and the ability to provide practical, business-focused legal advice.

Essential Functions:
  • Cultivate and strengthen client relationships, identify new business opportunities, and contribute to the continued growth and development of the firm's practice.
  • Draft, review, and negotiate a broad range of business and commercial agreements.
  • Assist clients with business formations, organizational matters, and corporate governance.
  • Conduct legal research and prepare legal memoranda, correspondence, and other written work products.
  • Assist with mergers and acquisitions, business sales, and other corporate and transactional matters.
  • Prepare corporate documents, resolutions, consents, and related transactional materials.
  • Conduct due diligence and assist with transaction closings and related post-closing matters.
  • Advise clients on contractual, corporate, and general business matters, providing practical, business-focused legal guidance.
  • Communicate directly with clients, opposing counsel, and other parties as appropriate.
  • Develop a strong understanding of clients' businesses, industries, and objectives in order to provide effective and practical legal counsel.
  • Manage assigned matters and deadlines with increasing independence while collaborating with senior attorneys and other members of the legal team.

Qualifications:
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to and good standing with the Ohio Bar.
  • Minimum of four (4) years of experience in business, transactional, corporate, or commercial law.
  • Strong contract drafting and negotiation skills.
  • Excellent legal research, writing, analytical, and communication skills.
  • Strong attention to detail and organizational abilities.
  • Ability to manage multiple matters and meet deadlines.
  • Ability to work independently while also functioning effectively as part of a team.
  • Proficiency with legal research tools and standard legal technology.
  • Demonstrated ability to work collaboratively in a team environment.
  • Strong client-service orientation, sound professional judgment, and an entrepreneurial mindset with the ability to develop and strengthen long-term client relationships.
