Position Summary:
Sony Corporation of America (SCA) has an excellent opportunity for a Business Affairs Attorney. The SCA Legal Department provides comprehensive, proactive legal services to internal clients and coordinates closely with the legal teams of our affiliates.  We work in a fast paced, hands-on, small team environment, where being both a self-starter and team player is critical. 

This role will require 3 days in person at the 25 Madison office.

Job Responsibilities:
  • Provide legal support on all aspects of mergers, acquisitions, venture capital and fund investments, joint ventures, and other strategic transactions
  • Review and advise on documents relating to corporate venture capital and fund investments
  • Draft and negotiate complex commercial contracts
  • Provide legal services to assigned internal client groups, as well as supporting SCA attorneys on other assignments
  • Support the corporate secretary function for various Sony entities
  • Perform other duties as assigned
  • Honesty, trustworthiness and ethical conduct are material requirements for the responsibilities outlined above

Qualifications for Position
Your Qualifications and Experience Should Include: 
  • Requires a J.D. with Strong Academic Performance, with Membership in Good Standing in At Least One State (preferably New York)
  • Requires a Minimum of Four (4) Years of Transactional Experience Working in A Well-Respected Law Firm or Large Corporation. a Mix of Law Firm and In-House Experience Is Preferred
  • A Proven Ability to Master Complex Legal Requirements, Learn Quickly, and Interact Easily with All Levels of Employees
  • Experience Meeting Tight Deadlines While Simultaneously Prioritizing Multiple Projects Is Essential
  • Excellent Written and Oral Communications Skills, Comprehensive Interpersonal Skills
  • A Demonstrated Ability to Work Very Closely with The Business Side and On Project Teams, and To Approach Issues with A Strategic Focus
  • Experience Negotiating and Drafting Complex Commercial Contracts Is Preferred
  • Experience with Transactions in The Technology, Entertainment, Sports and Fund Industries Is a Plus
  • Proficiency in Microsoft Office Suite
