Responsibilities:
The AVP Corporate Counsel is responsible for preparing, reviewing, and negotiating legal documents and contracts, ensuring that all business units understand the legal concepts and their implications. This role also serves as an in-house legal advisor, providing comprehensive legal counsel on a broad array of consumer retail, business loan, and account products or services. The AVP Corporate Counsel ensures that the credit union's interests are protected while supporting its strategic goals and ensuring compliance with applicable laws.
Key responsibilities include but are not limited to:
Legal Document Preparation and Review:
- Draft, review, and negotiate a wide range of legal documents, including contracts, agreements, responses to demand letters, and other legal instruments.
- Ensure all documents align with the organization's legal standards, compliance requirements, and strategic objectives.
- Conduct thorough contract reviews to protect the credit union's interests.
- Negotiate terms and conditions to achieve favorable outcomes while mitigating risks.
- Explain complex legal concepts in a clear and concise manner to various business units, ensuring they understand the implications of legal decisions.
- Act as an in-house legal advisor, providing advice and counsel on legal matters for all credit union personnel.
- Offer legal guidance on a wide range of issues including contract breaches, business loans, Uniform Commercial Code, trusts, guardianships, conservatorship documents, powers of attorney documents, garnishments, levies, and bankruptcies.
- Work with external legal counsel as necessary to support litigation and other legal proceedings.
- Collaborate with relevant departments to ensure compliance with legal requirements and best practices.
- Support the credit union's strategic initiatives by providing legal insights and recommendations.
- Oversee the development, implementation, and management of enterprise-wide policies to ensure they align with legal standards and the organization's strategic goals.
- Identify and assess potential legal risks in business operations and transactions.
- Develop strategies to mitigate risks while ensuring compliance with applicable laws and regulations.
- Conduct research on various legal issues.
- Monitor changes in laws and regulations relevant to the credit union's operations and ensure that all business units are informed and compliant.
- Collaborate with the compliance team to implement necessary changes in policies and procedures.

Working Conditions/Physical Demands
- Ability to communicate effectively in English, both orally and in writing
- Visually able to perform activities such as preparing and analyzing data and figures, viewing a computer terminal, and extensive reading
- Ability to sit for extended time periods
- Sufficient manual skill for operation of PC keyboard and other standard office equipment
- Ability to travel, including occasional overnight travel
- Ability to exert minimum amounts of force occasionally to lift, carry, push, pull or move objects
Qualifications:
5-8 years of related experience

Juris Doctor degree from an accredited ABA Law School
Certifications:
Active law license in Pennsylvania
