We are seeking a highly motivated Attorney/Sr. Attorney, Corporate & Securities to join our legal team, supporting a broad range of corporate governance, securities compliance, and transactional matters in a fast-paced public company environment. This role offers the opportunity to make meaningful contributions as part of a high-performing in-house legal team.

The Attorney/Sr. Attorney, Corporate & Securities responsibilities include but are not limited to:
In coordination with more senior members of the Corporate & Securities legal team, providing legal support on a wide range of corporate, governance and securities matters, including:
  • Securities law compliance (such as Forms 10-K, 10-Q, 8-K, rules check and compliance)
  • Section 16 filings (Forms 3 and 4)
  • Compliance with public company reporting and disclosure obligations (NYSE compliance; share ledger management; etc.)
  • Treasury matters
  • Subsidiary management
  • Support various aspects of the Corporate Secretary function
  • Support know-your-customer compliance processes
  • Transactional support, including capital markets transactions, M&A transactions, and venture investments
  • Limited amount of business travel required

Required Experience and Skills:
  • 2+ years of corporate transactional/securities law experience with a large law firm
  • Bachelor's Degree and Juris Doctorate (J.D.) from an accredited law school
  • Admission to at least one U.S. state bar
  • Exceptional interpersonal skills and outstanding academic credentials
  • Demonstrated team orientation with desire to broaden knowledge and perspective through variety of tasks
  • Ability to work under pressure and juggle multiple priorities in an effective manner by leveraging robust adaptability, multi-tasking, and time management skill sets
  • High degree of initiative and attention to detail

Preferred Experience and Skills:
  • Utilization of technology to monitor and execute workload
  • Experience with federal securities laws, regulations, and interpretations
  • Exposure to energy or natural resources industry is a plus
